This Exclusive Sale Agreement (the "Agreement") is entered into by and between Seller and Broker as of the Effective Date set forth below.

Seller grants Broker the exclusive right to market and sell the Property for the Listing Price and subject to the terms below. This exclusive listing authorizes Broker to act as the sole agent to procure a ready, willing and able purchaser and to obtain offers for the sale of the Property.

Compensation

Seller agrees to pay Broker compensation as follows. Broker shall be entitled to full compensation if, during the Listing Term or within the Protection Period described below, Broker procures a buyer who closes on the Property or if Seller accepts an offer procured by Broker or any cooperating broker.

Broker Duties and Authority

Broker is authorized to market the Property, list the Property in applicable cooperative databases, place signage, hold open houses, show the Property to prospective purchasers, negotiate offers and accept deposits in escrow on Seller's behalf subject to Seller's prior approval of written offers. Broker shall exercise reasonable professional efforts and comply with applicable law and brokerage rules.

Seller Representations and Disclosures

Seller represents that Seller is the sole owner of the Property and has full authority to enter this Agreement. Seller shall disclose to Broker all material defects, known environmental hazards and prior damage to the Property.

Title, Condition and Closing

Closing shall occur at a mutually agreed upon closing agent and date. Seller shall convey marketable title free of encumbrances, except as expressly permitted in writing. Seller shall maintain the Property in substantially the same condition as of the Effective Date, reasonable wear and tear excepted.

Default; Remedies

If Seller materially breaches this Agreement, Broker may pursue any remedies available at law or in equity, including but not limited to recovery of declared commissions and reasonable costs and attorneys' fees. If Broker breaches this Agreement, Seller's remedies shall be limited to actual damages proven and shall not exceed the lesser of the commission otherwise due or Broker's fees paid by Seller.

Indemnification

Each party shall indemnify and hold harmless the other party from claims, losses or liabilities arising out of that party's negligence, misrepresentations, or willful misconduct in connection with this Agreement. This indemnity survives closing or termination to the extent claims relate to the indemnifying party's acts or omissions.

Miscellaneous

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the state where the Property is located. Venue for disputes shall be the state or federal courts located in that jurisdiction. The prevailing party in any action to enforce this Agreement shall be entitled to recover reasonable attorneys' fees and costs.

Entire Agreement: This Agreement constitutes the entire agreement of the parties with respect to the subject matter hereof and supersedes all prior oral or written agreements. This Agreement may be amended only by a writing signed by both parties.

Electronic Signatures: The parties consent to execute this Agreement by electronic signature, which shall be effective and binding as an original signature.

Acknowledgment

Seller acknowledges receipt of a copy of this Agreement and confirms authority to list the Property. Broker confirms the broker-client relationship and duties owed under applicable law.
