4. Financial Terms

6. Seller Representations and Disclosures

Seller represents that, to Seller's knowledge, the statements below are accurate. Seller shall promptly provide all required property disclosures to prospective purchasers and cooperating brokers.

7. Inspections, Access and Seller Duties

Seller shall allow reasonable access for showings and inspections. Seller agrees to maintain the Property in substantially the same condition as of the Effective Date, ordinary wear and tear excepted. Seller shall promptly disclose known defects and deliver all property documentation to a buyer at closing.

8. Financing and Contingencies

Parties acknowledge that offers may be contingent upon buyer financing, appraisal, title review, and inspections. Seller and Broker shall cooperate with bona fide purchaser financing processes. Seller acknowledges that financing contingencies may affect timing of closing and Broker's commission obligations as set forth in this Mandate.

9. Termination, Default and Remedies

This Mandate may be terminated by mutual written agreement or by expiration of the Term. If Seller breaches this Mandate or willfully prevents performance, Seller shall be liable for Broker's commission as liquidated damages or actual damages where permitted by law. Broker's remedies include withholding cooperation to consummate a sale and recovering reasonable costs and attorneys' fees incurred enforcing this Mandate.

Broker may act as dual agent with the informed consent of both Seller and Buyer. Seller acknowledges that Broker may present offers from parties known to Broker and may receive compensation from cooperating brokers. Seller authorizes Broker to disclose material facts known to Broker to prospective buyers and cooperating brokers.

11. Indemnification

Seller agrees to indemnify, defend and hold Broker harmless from claims, liabilities, damages, losses and expenses, including reasonable attorneys' fees, arising out of Seller's breach of representations, failure to disclose material facts, or Seller's negligent acts or omissions in connection with the Property, except to the extent caused by Broker's gross negligence or willful misconduct.

12. Governing Law; Entire Agreement

This Mandate shall be governed by the laws of the state specified below without regard to conflict of laws principles. This Mandate constitutes the entire agreement between Seller and Broker concerning the exclusive listing and supersedes all prior negotiations and agreements. Amendments must be in writing and signed by both parties.

Notices required under this Mandate shall be in writing and delivered to the addresses provided above. Notice is effective upon personal delivery, sent by nationally recognized overnight courier, or three (3) business days after deposit in the U.S. mail, postage prepaid.
