REAL ESTATE EXCLUSIVE SALE ORDER

This Exclusive Sale Order ("Order") authorizes Broker to act as the exclusive agent to procure a buyer for the Property described below on the terms set forth herein. The parties agree that the Broker will have the exclusive right to sell the Property during the Term and to be compensated as provided in this Order.

OFFERS, ESCROW & EARNEST MONEY

SELLER REPRESENTATIONS & DISCLOSURES

Seller affirms the following known conditions (check Yes or No). If Yes is checked, Seller must provide details on the disclosures attachment and furnish required statutory disclosures to prospective buyers.

DUTIES, REPRESENTATIONS & WARRANTIES

Seller represents that Seller has full authority to execute this Order and that the Property is not subject to undisclosed leases, liens, judgments or encumbrances that would materially impair the sale, except as disclosed in writing to Broker. Seller will maintain the Property in substantially the same condition until closing and will provide Broker access for showings with reasonable notice.

Broker will exercise reasonable efforts to market the Property, to procure offers and to advise Seller. Broker makes no guaranty as to the sale price or timing of sale. Broker shall hold earnest money in accordance with escrow instructions and applicable law.

DEFAULT, REMEDIES & INDEMNIFICATION

If Seller wrongfully terminates this Order or fails to close a transaction procured by Broker as provided herein, Seller shall be liable for Broker's commission as liquidated damages or as otherwise permitted by contract and law. Each party agrees to indemnify and hold the other harmless from claims arising from the indemnifying party's breaches or negligent acts.

GOVERNING LAW; ENTIRE AGREEMENT

This Order is governed by the laws of the state where the Property is located. This Order constitutes the entire agreement between the parties with respect to the exclusive listing and supersedes all prior negotiations, representations or agreements, whether written or oral.
