5. Seller Representations; Condition of Property

Seller represents that Seller is the lawful owner, has authority to sell, and there are no pending actions or judgments affecting the Property except as specifically disclosed in writing. Seller further represents that, to Seller’s knowledge, the Property is in substantially the same condition as of the date of this Agreement except for ordinary wear and matters disclosed to Buyer in writing.

6. Inspection, Access and Remedies

Buyer and Buyer’s authorized representatives shall have reasonable access to the Property for inspections during the inspection period. If inspection reveals material defects, Buyer may (i) accept the condition, (ii) terminate this Agreement in writing within the inspection period and receive return of earnest money, or (iii) provide Seller with written objections and an opportunity to cure within a commercially reasonable period. Failure to timely give notice shall constitute Buyer’s waiver of objections.

7. Default and Remedies

If Buyer fails to perform, Seller may elect to retain the earnest money as liquidated damages or pursue specific performance and other remedies available at law or equity. If Seller fails to perform, Buyer may seek return of earnest money or specific performance. The parties agree that remedies are cumulative and governed by applicable law.

8. Brokers and Fees

Commissions and brokerage fees are to be paid as set forth in a separate agreement between Seller and broker and shall be paid at closing from Seller’s proceeds unless otherwise agreed in writing.

9. Miscellaneous Provisions

Governing Law: This Agreement is governed by the laws of the state in which the Property is located. The parties agree that venue for any action shall be in the appropriate state court for that jurisdiction.

Entire Agreement: This Agreement, together with any exhibits and addenda executed by the parties, constitutes the entire agreement and supersedes all prior negotiations and understandings. No amendment shall be effective unless in writing and signed by both parties.
