Time is of the essence with respect to the dates and deadlines set forth in this Addendum and the Purchase Agreement. If Buyer or Seller fails to comply with any material term of the Purchase Agreement as amended, the non-breaching party shall be entitled to exercise all remedies available at law or in equity, including specific performance or termination in accordance with the Purchase Agreement. Any monetary remedy shall be limited to actual damages unless otherwise provided in the Purchase Agreement.

Except as expressly amended by this Addendum, all terms, covenants, deadlines and conditions of the Purchase Agreement remain unchanged and in full force and effect and are hereby ratified by the parties. This Addendum may be executed in counterparts and by electronic or facsimile signature, each of which shall be an original but all of which together shall constitute one agreement.
