Warranties, Maintenance, and Acceptance

Designer warrants that services will be performed in a professional manner consistent with prevailing industry standards. Designer's obligation for correction of defective design work shall be limited to the scope and period expressly set forth below.

Insurance, Indemnity and Liability

Indemnification: Designer shall indemnify and hold Owner harmless from claims arising out of Designer's negligence or willful misconduct. Owner shall indemnify and hold Designer harmless from claims arising out of Owner-supplied information or Owner's failure to disclose known conditions.

Default, Termination and Remedies

Failure by either party to perform material obligations under this Agreement, after written notice and a 14-day opportunity to cure, shall constitute default. Non-breaching party may terminate this Agreement and pursue available remedies at law or equity, including recovery of costs and reasonable attorney's fees where permitted by law.

Governing Law; Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of the state in which the Property is located, without regard to conflicts of law principles. This Agreement, together with any attachments or signed change orders, constitutes the entire agreement between the parties and supersedes all prior proposals, negotiations, and agreements, whether written or oral.
