CONSERVATION, PESTICIDES & ENVIRONMENTAL COMPLIANCE

Lessee must comply with all applicable conservation programs, pesticide laws, and environmental regulations. Lessee represents it will not knowingly cause contamination and shall notify Lessor promptly of any release or contamination discovered.

INSURANCE AND INDEMNITY

Lessee shall maintain commercial general liability insurance covering the Premises and operations, naming Lessor as an additional insured for activities on the Premises. Minimum coverage amount:

Lessee shall indemnify, defend and hold Lessor harmless from claims arising out of Lessee's operations, except to the extent caused by Lessor's gross negligence or willful misconduct.

TAXES, ASSESSMENTS & UTILITIES

Property taxes assessed against the land shall be paid by Lessor. Any assessments or new fees resulting directly from Lessee's improvements or operations shall be paid by Lessee. Lessee shall pay for utilities and fuel used for farming operations unless otherwise agreed in writing.

ASSIGNMENT, SUBLETTING & SUCCESSORS

Lessee shall not assign or sublet the Premises or any part without Lessor's prior written consent, which shall not be unreasonably withheld. This Agreement binds and benefits the parties and their permitted successors and assigns.

DEFAULT, REMEDIES & CURE

A default occurs if either party fails to perform any material obligation under this Agreement. Except where immediate action is required, the non-defaulting party shall give written notice and the defaulting party shall have days to cure.

If not cured within the cure period, the non-defaulting party may pursue remedies available at law or in equity, including termination, damages and reasonable costs and attorneys' fees.

CASUALTY, CONDEMNATION & EARLY TERMINATION

If the Premises are materially damaged by casualty or taken by eminent domain, either party may terminate this Agreement by written notice. Rent shall be apportioned as of the date of termination, subject to adjustment for harvested crops and insured loss proceeds as provided herein.

NOTICES

Notices shall be effective when delivered in person, by certified mail, or by nationally recognized overnight courier to the notice address shown above, or to any other address designated in writing.

GOVERNING LAW, ENTIRE AGREEMENT & MISCELLANEOUS

This Agreement shall be governed by the laws of the state where the Premises are located. This Agreement, including all attachments and exhibits, constitutes the entire agreement between the parties and supersedes all prior negotiations and understandings. Any amendment must be in writing and signed by both parties. If any provision is held invalid, the remainder shall remain in full force and effect.
