Commission and Compensation

Seller agrees to pay Broker a commission of or $ payable at closing or as otherwise agreed in writing. Broker may offer cooperative compensation to cooperating brokers in the amount of or $ .

Commission is earned if, during the Term or any Protection Period defined below, Broker or any cooperating broker procures a buyer who is ready, willing and able to purchase the Property upon terms acceptable to Seller, or if Seller accepts an offer, regardless of whether a sale closes.

Seller authorizes Broker to list the Property in the multiple listing service (MLS), to place advertising, signage on the Property, to distribute keys or lockbox information to cooperating brokers, and to take photographs, floor plans and virtual media for marketing. Seller acknowledges that Broker may engage third-party vendors for marketing at Seller's expense if so agreed in writing.

Seller Duties and Condition of Property

Seller shall disclose all known material defects, deliver possession in the condition agreed upon in any purchase contract, and shall not take actions that unreasonably interfere with Broker's marketing efforts. Seller shall provide Broker with keys, alarm codes, and access to utility and title information as reasonably requested.

Dual Agency and Confidentiality

Seller acknowledges that Broker may represent multiple parties and consents to dual or designated agency where permitted by law. Broker shall maintain confidential information of Seller except as required by law, court order, or as necessary to effectuate a sale.

Default, Remedies and Indemnity

If Seller defaults under a resulting purchase contract or otherwise breaches this Agreement, Broker shall be entitled to recover its commission, costs, and reasonable attorneys' fees. If Broker fails to perform its material obligations, Seller's remedies shall be limited to termination of this Agreement and reimbursement of pre-authorized marketing costs paid by Seller, unless otherwise required by law.

Seller agrees to indemnify, defend and hold Broker harmless from claims, losses or liabilities arising out of Seller's misrepresentations, failure to disclose known defects, or breach of obligations in this Agreement.

Closing; Escrow; Title

Closing shall occur at the escrow or title company agreed to by the parties. Unless otherwise agreed in writing, Seller will deliver marketable title free of undisclosed liens, encumbrances, and claims, subject to those exceptions permitted by the purchase contract.

Governing Law; Entire Agreement; Amendments

This Agreement shall be governed by the laws of the state in which the Property is located. This Agreement contains the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior oral or written understandings. Any amendment to this Agreement must be in writing and signed by both Seller and Broker.

Miscellaneous Provisions

Notices shall be in writing and delivered to the addresses provided in this Agreement. If any provision of this Agreement is held invalid, the remainder shall continue in full force and effect. Time is of the essence for obligations under this Agreement where such language is expressly stated.
