Default, Remedies, and Risk Allocation

Time is of the essence for all dates contained in this Agreement. In the event of a material default by a party, the non-defaulting party shall be entitled to pursue all remedies available at law or equity, including specific performance, damages, and recovery of reasonable attorneys' fees and costs incurred to enforce this Agreement. If earnest money is provided, the parties authorize its disposition in accordance with the mutual written instructions or, absent agreement, by court order.

Closing; Title; Prorations

Closing shall occur at the closing date specified above unless otherwise agreed in writing. Title shall be conveyed by general warranty deed (or other instrument as provided in the applicable included document). Taxes, utilities, rents, and other customary charges shall be prorated as of the closing date unless the parties agree otherwise in writing.

This Agreement is governed by the laws of the state in which the Property is located. This document, together with any checked included documents and written addenda executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter herein. If any provision is held unenforceable, the remaining provisions shall remain in full force and effect.

Notices

Notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth for each party above by personal delivery, certified mail, or commercial courier and shall be effective upon receipt.

Acknowledgments and Certifications

Each party warrants and represents that: (a) the party has full authority to enter into this Agreement; (b) the information provided herein is true and correct to the best of the party's knowledge; and (c) execution of this Agreement does not violate any other agreement to which the party is bound. Parties agree to cooperate in good faith to execute any additional documents reasonably necessary to effectuate the transaction described in this Flat Pack.
