REAL ESTATE FLOORS AGREEMENT

This Real Estate Floors Agreement (the "Agreement") is made between the parties identified below for the supply, installation, repair or replacement of floor coverings and related work at the Property described in Section 1. The parties agree to be bound by the terms and conditions set forth herein.

Contractor shall furnish all labor, materials, equipment and supervision necessary to complete the work described in this Agreement in a professional manner consistent with industry standards and applicable building codes. The work includes but is not limited to: supply and installation of floor coverings, removal and disposal of existing flooring, subfloor repair as necessary, trim and transition installation, and final cleanup.

Any changes to the Scope of Work resulting in additional cost or time shall be documented in a written change order signed by Owner and Contractor. Verbal authorizations are not effective unless confirmed in writing. Change orders shall specify cost adjustments and revised completion dates.

Contractor shall obtain all required permits and ensure that all work complies with applicable building codes, ordinances, and industry standards. Contractor shall maintain workers' compensation and general liability insurance in amounts sufficient for the project and provide proof of insurance upon request.

Flooring work may disturb surfaces that could contain lead, asbestos, mold, or other hazardous materials. Owner represents known conditions below; Contractor shall stop work and notify Owner if suspect hazardous materials are encountered.

9. Warranties and Remedies

Contractor warrants that workmanship will be free from defects for a period of months from the date of substantial completion, except for defects caused by abuse, neglect, or improper maintenance. Manufacturer warranties for materials shall be assigned to Owner to the extent transferable.

10. Default; Termination; Remedies

If either party materially breaches this Agreement, the non-breaching party shall provide written notice and a cure period of days to cure. If not cured within the cure period, the non-breaching party may suspend performance, terminate this Agreement, and pursue available remedies including recovery of costs, damages and specific performance where appropriate.

11. Indemnity; Limitation of Liability

Contractor shall indemnify and hold Owner harmless from liabilities, claims, damages and expenses arising from Contractor's negligence or willful misconduct in performance of the work. Except for willful misconduct or gross negligence, neither party shall be liable to the other for consequential, incidental or punitive damages.

12. Assignment; Subcontracting

Contractor may subcontract portions of the work but shall remain responsible for performance and compliance with this Agreement. Neither party may assign their rights or delegate obligations without the prior written consent of the other, which shall not be unreasonably withheld.

13. Entire Agreement; Governing Law

This Agreement, including all exhibits and signed change orders, constitutes the entire agreement between the parties and supersedes all prior negotiations, representations, and agreements. This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles.

14. Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses listed for each party at the beginning of this Agreement, or such other address as either party may designate by notice to the other.

15. Miscellaneous Provisions

If any provision of this Agreement is deemed invalid or unenforceable, the remainder shall continue in full force. The parties acknowledge that no representations or warranties other than those expressly set forth herein have been made.
