REAL ESTATE FOSTER AGREEMENT

This Real Estate Foster Agreement (the Agreement) is entered into between the parties identified below for the temporary fostering, rehabilitation, caretaking, or occupancy of the property described herein under the terms and conditions set forth. The parties intend that this Agreement create contractual obligations enforceable under applicable law.

USE, MAINTENANCE AND IMPROVEMENTS

Permitted Use: The Foster may use the Property solely for the purposes of fostering, rehabilitating, caretaking, or temporary occupancy as expressly authorized in this Agreement. Any change of use requires prior written consent of the Owner.

Title to any permanent improvements installed by the Foster shall vest in the Owner unless otherwise provided in a separate written addendum signed by both parties. The Foster shall obtain Owner's prior written approval for any structural change.

INSURANCE, INDEMNITY, AND RISK

Indemnity: Foster shall indemnify, defend, and hold Owner harmless from claims, liabilities, losses, and expenses arising from Foster's use, occupancy, or acts or omissions on the Property, except to the extent caused by Owner's gross negligence or willful misconduct.

UTILITIES, TAXES AND PERMITS

Responsibility for utilities, property taxes, and permits shall be allocated as follows. Utilities paid by Foster:

DEFAULT, REMEDIES, AND TERMINATION

Default: A party shall be in default for failure to perform any material obligation under this Agreement if such failure continues for a period of days after written notice.

Remedies: Upon default, the non-defaulting party may pursue all remedies available at law or equity, including termination, recovery of damages, specific performance, and attorney's fees as permitted by law.

Early Termination: Either party may terminate this Agreement for material breach subject to the notice and cure provisions above or by mutual written agreement. Upon termination, Foster shall vacate and return possession in broom-clean condition, subject to ordinary wear and tear.

NOTICES

All notices must be in writing and delivered to the addresses below by hand delivery, recognized overnight courier, or certified mail, return receipt requested.

MISCELLANEOUS

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which the Property is located.

Entire Agreement: This Agreement, together with any attachments and written addenda signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings.

Severability: If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect to the extent permitted by law.

Assignment: Foster may not assign or transfer its interest in this Agreement without Owner's prior written consent, which shall not be unreasonably withheld.
