Default, Remedies and Risk Allocation

If Buyer fails to close in accordance with this Agreement, Seller may elect to retain earnest money as liquidated damages or pursue specific performance or other remedies at law or in equity. If Seller fails to convey title as required, Buyer may seek specific performance, damages or termination and return of deposit. The parties agree remedies are cumulative and not exclusive.

Risk of loss or casualty to the Property prior to closing shall be borne by Seller. If a material casualty occurs prior to closing that reduces value materially, Buyer may elect to terminate and receive return of deposit or proceed to closing with agreed adjustments.

Representations, Warranties & Indemnities

Seller represents that Seller has good and marketable title to the Property free of liens except as disclosed; that the Property is not subject to any leases (except as disclosed); and that all information provided to Buyer is true and complete to Seller's knowledge. Seller shall indemnify and hold Buyer harmless from losses arising from breach of Seller's representations. Buyer represents ability to perform and will indemnify Seller for breaches by Buyer.

Notices

All notices required or permitted under this Agreement shall be in writing and shall be deemed delivered when personally delivered, sent by nationally recognized overnight courier, or three (3) business days after deposit in U.S. mail, postage prepaid, addressed to the parties at the addresses set forth below or such other address as a party may designate in writing.

Addenda, Attachments & Entire Agreement

This Agreement shall be governed by and construed under the laws of the State specified by the parties below. If any provision is held invalid, illegal or unenforceable, the remaining provisions shall remain in full force and effect.
