Permitted Uses and Rules

The Gateway Commons areas shall be used only for lawful activities expressly authorized by Owner. Applicant agrees to comply with posted rules and the following specific conditions:

Maintenance, Repairs, Keys and Access Devices

Owner retains responsibility for routine maintenance of Gateway Commons. Applicant shall promptly report damage and shall be responsible for costs resulting from negligent or intentional damage by Applicant or Applicant's invitees.

Insurance, Indemnity, and Liability

Applicant shall maintain, at its expense, commercial general liability insurance covering Applicant’s use of the Gateway Commons with limits not less than $ per occurrence, naming Owner as an additional insured where required by Owner.

Applicant indemnifies, defends and holds Owner harmless from all claims, losses, liabilities and expenses (including reasonable attorneys' fees) arising out of Applicant’s use of the Gateway Commons, except for claims arising from Owner’s gross negligence or willful misconduct.

Default, Termination and Remedies

Failure by Applicant to timely pay fees, comply with rules, or maintain required insurance constitutes default. On default, Owner may terminate Applicant's access, retain all or a portion of the security deposit to cure damages, and pursue all available legal and equitable remedies.

All notices required by this Agreement must be in writing and delivered to the addresses below by hand, certified mail, or commercial courier.

Governing Law and Miscellaneous

This Agreement shall be governed by the laws of the state where the Property is located. This Agreement, together with any attachments signed by the parties, constitutes the entire agreement between the parties with respect to access to the Gateway Commons and supersedes all prior negotiations and agreements.
