Ownership, License & Use

Upon full and final payment, Designer grants Client a perpetual, worldwide, non-exclusive license to use the delivered graphics for marketing and sale of the Property identified herein. Designer retains ownership of original artwork and source files unless a written transfer of ownership is executed and additional fee paid. Designer reserves the right to include the work in Designer's portfolio and promotional materials unless Client checks the box below and pays an agreed portfolio restriction fee.

Warranties, Indemnity & Liability

Designer warrants that the work provided will be original and will not knowingly infringe third-party copyrights. Client warrants that Client has authority to grant access to the Property and permission to photograph and use materials supplied to Designer. Client shall indemnify, defend and hold Designer harmless from claims arising from Client-supplied materials, inaccurate property disclosures, or Client's use of the deliverables beyond the scope of this Agreement.

EXCEPT FOR WILLFUL MISCONDUCT OR GROSS NEGLIGENCE, DESIGNER'S LIABILITY FOR ANY CLAIM RELATING TO THIS AGREEMENT IS LIMITED TO DIRECT DAMAGES NOT TO EXCEED THE AMOUNTS PAID BY CLIENT UNDER THIS AGREEMENT; IN NO EVENT SHALL DESIGNER BE LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES.

Termination & Remedies

Either party may terminate this Agreement upon written notice if the other party materially breaches and fails to cure within days after receipt of notice. In the event of termination by Client without cause, Designer shall be entitled to fees for work performed and reasonable costs incurred through termination date.

Confidentiality

Each party shall keep confidential proprietary information disclosed by the other party and shall not disclose such information to third parties except as required to perform this Agreement or by law. Confidential information does not include information that is publicly available or already independently known to the receiving party.

Governing Law & Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of the state specified by the parties below. This Agreement constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior proposals, negotiations, or agreements, whether written or oral.
