Time is of the essence only as expressly stated in this Agreement. Contractor shall not be liable for delays caused by weather, acts of God, unforeseen site conditions, or permit/inspection delays beyond Contractor's reasonable control. If Contractor fails to complete work by the Completion Date due solely to Contractor negligence, liquidated damages shall apply in the amount of $ per day, not to exceed actual documented damages.

Inspections, Acceptance & Punch List

Upon completion, Contractor shall notify Owner for final inspection. Owner shall inspect within seven (7) calendar days and provide written punch list items. Contractor shall correct punch list items at Contractor's expense within a reasonable time unless items arise from Owner-caused conditions or subsequent damage.

Warranties and Limitations

Contractor warrants workmanship for a period of from completion. Manufacturer warranties for materials shall be assigned to Owner where transferable. Warranty excludes damage resulting from pre-existing roof defects, ice damming, improper roof fastening, structural defects, or acts beyond Contractor's control. Remedy under warranty is limited to repair or replacement at Contractor's option.

Insurance, Indemnity & Liens

Contractor shall maintain commercial general liability insurance and workers' compensation as required by law. Contractor shall indemnify and hold Owner harmless from claims arising from Contractor's negligence. Owner shall maintain property insurance for pre-existing conditions and risks unrelated to Contractor's operations.

Contractor retains the right to file mechanic's or construction liens for unpaid work in accordance with applicable law. Owner shall timely pay undisputed amounts to avoid lien risk.

Default, Termination and Remedies

If Owner fails to pay amounts when due or otherwise materially breaches this Agreement, Contractor may suspend work after reasonable written notice and may pursue all remedies including termination and recovery of costs, reasonable attorneys' fees, and interest. If Contractor materially breaches, Owner may provide written notice and Contractor shall have a reasonable opportunity to cure.

Change Orders

Changes to the Scope of Work shall be made only by written Change Order signed by both parties. Change Orders shall describe the change, any adjustment to price, and any adjustment to schedule. Contractor shall not be obligated to perform changes without a signed Change Order.

Governing Law; Entire Agreement

This Agreement shall be governed by the law of the state where the Property is located. This document, together with any written Change Orders, constitutes the entire agreement between the parties concerning the work and supersedes all prior negotiations, representations and agreements, whether written or oral.
