If Owner defaults, Holder may elect to recover the deposit, seek specific performance, or pursue other remedies. The parties agree these remedies are cumulative and not exclusive.

INSURANCE, TAXES AND MAINTENANCE

During the Holding Period Owner shall maintain all hazard insurance and pay property taxes and assessments. Holder shall be responsible for any damage caused by Holder or Holder's agents. Owner represents that the Property is insured and that insurance will remain in force through Closing.

INDEMNITY AND REPRESENTATIONS

Each party represents and warrants it has the authority to enter into this Agreement. Owner warrants that there are no undisclosed liens or encumbrances that will materially impede closing, except as disclosed in writing. Each party agrees to indemnify and hold harmless the other from liabilities arising from that party's breach or negligent acts.

GOVERNING LAW; ENTIRE AGREEMENT

This Agreement shall be governed by the laws of the state in which the Property is located. This Agreement constitutes the entire agreement between the parties regarding the subject matter and supersedes all prior negotiations and understandings. No modification is effective unless in writing and signed by both parties.

NOTICES

Notices under this Agreement shall be sent to the addresses set forth above and shall be effective upon personal delivery, delivery by nationally recognized overnight courier, or three (3) days after deposit in the United States mail, postage prepaid.

MISCELLANEOUS
