Owner hereby authorizes Broker and Broker's agents to install, maintain and remove the real estate sign(s) described above at the Property during the period specified. Owner represents that Owner is the lawful owner or has authority to permit sign placement at the Property and that no other party holds rights that would prohibit such placement.

Owner warrants that any required approvals, permits or consents from homeowners' associations, municipal authorities, or other governing bodies have been obtained prior to installation, except as otherwise noted in this document. If approvals have not been obtained, Owner acknowledges that Owner is solely responsible for securing any required approvals and for any penalties arising from noncompliance.

Indemnity, Liability and Maintenance

Owner agrees to indemnify, defend, and hold Broker and Broker's agents harmless from and against all claims, liabilities, costs, damages and expenses (including reasonable attorneys' fees) arising from the installation, maintenance, removal or presence of the sign(s) on the Property, except to the extent caused by Broker's willful misconduct or gross negligence.

Broker shall exercise reasonable care in installation and maintenance of signs. Broker is not responsible for damage to underground utilities unless Broker has been provided with accurate utility locates in writing in advance of installation and such damage results from Broker's negligence.

Access, Repair, and Removal

Owner grants Broker and Broker's agents reasonable access to the Property solely for the purposes of installing, maintaining, inspecting and removing the sign(s) described herein. Broker shall remove sign(s) promptly upon request by Owner or at the end of the agreed removal date, unless otherwise agreed in writing.

Default, Remedies and Governing Law

Failure by either party to perform any material obligation under this authorization shall be a default. The non-defaulting party may pursue all remedies available at law or in equity. This authorization constitutes the entire agreement with respect to sign placement and supersedes prior agreements, and shall be governed by the laws of the state where the Property is located.
