Default, Remedies & Indemnity

If either party fails to perform obligations under this Proposal, the non-defaulting party may pursue available remedies at law or equity, including suspension or termination of work, collection of sums due, and recovery of costs and attorneys' fees where permitted. The Client agrees to indemnify and hold harmless the Proposer from claims arising from Client-supplied items, unknown concealed conditions, or Client's breach of this Proposal.

Permits, Liens & Compliance

The Proposer may file mechanics' liens to secure payment for services and materials where authorized by law. The Proposer will comply with applicable building codes and regulations; the Client will assist in obtaining access and approvals as required.

Governing Law & Entire Agreement

This Proposal shall be governed by the laws of the state in which the Property is located. This Proposal, together with any executed change orders, constitutes the entire agreement between the parties and supersedes prior negotiations, representations or agreements, whether written or oral. Amendments must be in writing and signed by both parties.
