Default; Remedies; Termination

An "Event of Default" occurs upon failure to fund required contributions, breach of material covenant, insolvency or bankruptcy of a party, or willful misconduct. Upon default, the non-defaulting party may pursue specific performance, damages, appointment of receiver, foreclosure, or other remedies permitted by law. Remedies are cumulative and exclusive of equitable relief.

Tax Treatment and Accounting

Profits, losses, tax items and credits shall be allocated in accordance with capital accounts maintained under generally accepted accounting principles and the allocation provisions set forth herein. Each party shall timely furnish necessary tax information to facilitate preparation of returns.

Confidentiality

Each party shall maintain confidentiality of non-public information received from the other party and shall not disclose such information except as required by law or as necessary to perform obligations under this Agreement. Obligations survive termination for three years.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses below by personal delivery, nationally recognized overnight courier, or certified mail, return receipt requested.

Transfer Restrictions; Assignment

No party may assign or transfer its rights or obligations under this Agreement without prior written consent of the other party, except transfers to affiliates or permitted successors. Any attempted transfer in violation shall be void.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the state where the Property is located. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for disputes not subject to arbitration.

Indemnification

Each party shall indemnify, defend and hold harmless the other party from and against any and all claims, liabilities, losses, damages, costs and expenses arising out of its breach of this Agreement, negligence, willful misconduct or material misrepresentation, except to the extent caused by the indemnitee's gross negligence or willful misconduct.

Entire Agreement; Amendment

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior discussions and agreements. No amendment shall be effective unless in writing and signed by both parties.
