REAL ESTATE INVESTMENT COMMISSION AGREEMENT

This Real Estate Investment Commission Agreement (the Agreement) is entered into between Principal (the party engaging services) and Commission Agent (the party earning commissions). The parties agree as follows:

Parties

Property Identification

Scope of Engagement

Principal hereby engages Agent, and Agent accepts engagement, to identify, introduce, solicit or procure investors, purchasers, partners, or financing for the Property and related investment opportunities, subject to the terms of this Agreement.

Commission Terms

Commission payable: Agent shall be entitled to a commission as set below if, during the Term, Agent procures a purchaser or investor who enters into a binding agreement with Principal for the Property or an investment in the Property or associated project.

Commission is due and payable at the earlier of: (a) closing of the sale or funding of the investment; (b) receipt by Principal of funds from the purchaser or investor; or (c) receipt by Agent of written confirmation of a binding purchase or investment agreement. Payment shall be made within days of the triggering event.

Conditions and Contingencies

Agent must produce written evidence of introduction or a fully executed purchase, investment, or financing agreement to be eligible for commission. Commission shall not be earned for transactions where Principal consummates a transaction without reliance upon Agent's introduction, unless Agent provided a material and demonstrable contribution to the transaction.

Disclosures

Principal discloses the following known conditions affecting the Property (check Yes or No and describe if Yes):

Representations and Warranties

Each party represents and warrants that it has full power and authority to enter into this Agreement and to perform its obligations. Principal represents that it has clear authority to offer the Property for sale or investment and that no outstanding agreements conflict with Agent's appointment.

Default and Remedies

In the event of breach by either party, the non-breaching party may pursue all remedies available at law or equity, including specific performance, injunctive relief, and recovery of reasonable attorneys' fees and costs incurred to enforce this Agreement. Principal's obligation to pay commission that is otherwise earned shall survive termination of this Agreement.

Term and Termination

This Agreement commences on the Effective Date and continues for months, unless earlier terminated by written notice. Termination shall not affect rights to commissions earned prior to termination nor rights that by their nature survive termination.

Confidentiality

Each party shall keep confidential all non-public information disclosed in connection with this Agreement, and shall not use such information except to perform obligations under this Agreement. Confidential information excludes information that is or becomes public through no fault of the receiving party or that is required to be disclosed by law.

Notices

All notices under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address designated in writing. Notices shall be deemed given upon personal delivery, confirmed electronic delivery, or three (3) days after deposit in the United States mail, certified or registered, postage prepaid.

Governing Law; Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of the state or jurisdiction where the Property is located. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral.

Miscellaneous

If any provision of this Agreement is found unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign its rights under this Agreement without the prior written consent of the other, except that Principal may assign to an affiliate or to a successor in interest to the Property.

What the Real Estate Investment Commission document is

A Real Estate Investment Commission is a written agreement that defines how, when, and to whom a commission is paid for securing or managing an investment real estate transaction. It records parties involved, commission rates or formulas, triggering events such as closing or lease commencement, payment timing, and allocation among brokers or agents. The document may also specify exclusivity, scope of services, and dispute resolution. Properly completed, signed, and retained, it provides an evidentiary record used for tax reporting, commission disputes, and internal accounting.

Why a clear commission agreement matters

A concise commission agreement reduces ambiguity about fees, protects investor and broker rights, and documents payment triggers for accounting and tax reporting.

Why a clear commission agreement matters

Who typically prepares and signs a Real Estate Investment Commission

Use this document whenever a fee is owed for sourcing, negotiating, or managing a real estate investment transaction to create an auditable record.

  • Brokerage teams coordinating client introductions and fee splits for deals or leasing transactions.
  • Private equity or syndication sponsors documenting payment for capital raise or acquisition services.
  • In-house legal or finance staff ensuring commission terms align with corporate policy and IRS reporting.

Core elements every professional commission agreement should include

A robust commission agreement combines identification, formulaic clarity, payment mechanics, scope, term, and dispute resolution to avoid future disputes and support tax compliance.

Parties

Full legal names and entity types for payer(s) and recipient(s); include company registration numbers where applicable to avoid identity ambiguity and support 1099 reporting.

Commission Rate

Specify fixed amount or percentage and the base (sale price, gross rent, equity raised). Define rounding, caps, and any tiered calculation rules to ensure consistent payout math.

Payment Trigger

Define the event that creates payment obligation (closing, funding, lease execution, rent collection) and whether payment is prorated, escrowed, or contingent on conditions precedent.

Calculation Method

Detail formula, timing for valuation adjustments, allocation among multiple brokers, and any refund or clawback provisions if transaction reverses or fails.

Exclusivity & Scope

State timebound exclusive agency rights or limited engagement scope (marketing, introductions, negotiation). Limitations prevent overlapping claims and double commissions.

Term and Termination

Set effective date, expiration, renewal mechanics, notice periods, and termination effects on pending transactions and earned commissions.

Essential fields to include for accuracy

Payer name: Full legal name
Payee name: Full legal name
Property identifier: Address or legal description

Step-by-step: completing a Real Estate Investment Commission form

  • 01
Gather details: Collect legal names, property identifiers, and deal terms before drafting.
  • 02
Set the formula: Specify percentage, flat fee, and any prorations in plain language.
  • 03
Agree payment terms: Define triggers, due dates, and method of payment clearly.
  • 04
Execute and retain: Sign using an auditable method and store per retention rules.

Configuring an online workflow for the commission agreement

When routing the commission form electronically, set field types and authentication to match legal and internal control needs.

Field Configuration
Party name fields Required text fields, validation for length
Commission amount Numeric field, two-decimal precision
Payment trigger Dropdown with defined options
Signature field Required with audit trail and timestamp

Where to send or file the completed commission agreement

After execution, route copies to accounting, legal, broker records, and retain a signed original for compliance and tax.

  • Accounting copy: Stores payment schedule and treasury instructions.
  • Broker records: Keeps commission history and allocation details.
  • Investor ledger: Matches commission fees to deal accounting entries.
  • Tax files: Use for 1099-NEC reporting and backup withholding checks.

Digital signing and file format considerations

Ensure the chosen provider supports retention export, audit trails, and any industry-specific compliance such as HIPAA BAA if applicable.

  • File formats: PDF, DOCX supported; PDF/A recommended for archiving
  • Authentication: Email, SMS code, or stronger methods available
  • Integrations: CRM and cloud storage connections supported

Timing and tax reporting deadlines to track

Track payment timing for internal controls and reportable events to meet IRS and state obligations tied to commissions.

Payment due:

Follow agreed payment terms or standard 30–60 days after trigger

1099-NEC issuance:

Provide Form 1099-NEC to recipient and IRS by Jan 31 (IRS)

Backup withholding:

Apply 24% if TIN missing or incorrect

Record audit:

Complete internal reconciliation within fiscal close

Contract renewal:

Review commission terms before renewal or extension

Common preparation mistakes to avoid

  • Using ambiguous payment language that leaves calculation open to interpretation, triggering disputes.
  • Failing to record exact triggering event dates, which complicates accounting and payment timing reconciliation.
  • Neglecting to collect accurate taxpayer identification numbers, leading to backup withholding or incorrect 1099s.
  • Relying on unsigned or improperly authenticated signature images without an audit trail to prove intent.

Key penalties and legal risks of errors

Late 1099 filing: $60–$330 per form (IRC §6721)
Intentional disregard: $660+ per form, no cap (IRC §6721)
Backup withholding: 24% withheld until correct TIN supplied
Payment disputes: Contract litigation and recovery costs
Invalid signature: Enforceability challenge without audit trail
Recordkeeping lapse: Regulatory fines and audit exposure
