What the Real Estate Investment Final REI Represents

The Real Estate Investment Final REI is a closing-stage agreement that records final capital contributions, ownership percentages, and priority distributions for a real estate investment vehicle. It formalizes investor commitments, confirms capital account allocations, and documents waterfall mechanics or carve-outs agreed during syndication. The REI typically attaches subscription schedules, exhibit-level property details, and closing certificates. Parties use it to allocate tax attributes, vest rights, and create an enforceable record of obligations between sponsors, limited partners, and service providers at the point of final funding.

Why a Complete Final REI Matters to All Parties

A properly completed Final REI reduces closing delays, clarifies tax reporting obligations, and creates a clear legal record of investor rights and obligations under ESIGN and applicable state law.

Why a Complete Final REI Matters to All Parties

Who Typically Prepares and Signs a Final REI

Sponsors, fund managers, investors, and closing counsel commonly prepare or review the Final REI before funding and recording.

  • Real estate sponsors and asset managers who structure the deal and certify capital calls; they finalize economic terms and signature blocks.
  • Institutional and individual investors who confirm subscription amounts, tax status, and banking details prior to wiring funds.
  • Title companies, escrow agents, and closing counsel who verify signatures, notarizations, and supporting documents during closing.

Accurate completion benefits underwriters, tax preparers, and title companies that rely on consistent party and closing data.

Common preparation errors that delay closings

  • Using inconsistent party names across exhibits, which requires re-execution and title revisions.
  • Failing to collect correct TINs or W-9s, creating backup withholding or IRS reporting complications.
