What the Real Estate Investor-Broker Agreement Covers

A Real Estate Investor-Broker Agreement is a written contract that defines the relationship between an investor and a licensed broker for the sourcing, marketing, acquisition, sale, or disposition of real property or property interests. It sets out party identities, scope of services (listing, buyer representation, lead generation), commission or fee structure, exclusivity or agency term, due diligence periods, closing and escrow instructions, confidentiality obligations, and dispute-resolution terms. In many states the agreement must conform to state real estate law; when executed electronically, it is generally enforceable under the ESIGN Act (15 U.S.C. ch. 96) and UETA where applicable.

Why a Clear Investor–Broker Agreement Matters

A precise agreement reduces ambiguity about commissions, timelines, and responsibilities, lowering the risk of disputes and costly delays. It documents consent, defines deliverables and compensation, and creates an auditable record useful for closing, recording, and enforcement under state contract law and federal e-signature rules.

Why a Clear Investor–Broker Agreement Matters

Who Typically Executes This Agreement

Common participants include investors, licensed brokers, brokerages, and sometimes title companies or loan officers involved in transactions.

  • Individual investors seeking acquisition opportunities, often using the broker for sourcing deals and negotiation support.
  • Brokerages and licensed brokers who source or market properties and require a written fee and agency agreement.
  • Title companies, lenders, or closing agents that receive copies to coordinate escrow, recording, or financing steps.

Each signer should confirm authority, licensing, and the scope of representation before signing to avoid later disputes.

Primary Parties and Signing Roles

Investor — Principal

An investor or investment entity (individual, LLC, or fund) that retains the broker to identify, evaluate, or acquire property. The investor must have signatory authority and provide accurate legal names, tax IDs, and funding or escrow instructions to make the agreement enforceable and to satisfy title and closing requirements.

Broker — Licensed Agent

A licensed broker or designated broker of a brokerage who accepts appointment to represent or source transactions. The broker should sign in a capacity that matches licensing records and include broker license numbers, business entity name, and a primary contact for notices and commission invoicing.

Core Elements to Include in a Professional Agreement

A complete Investor-Broker Agreement organizes responsibilities, payments, timing, and legal protections so both parties understand expectations and remedies.
