REAL ESTATE KEY DELIVERY AGREEMENT

Deliverer represents that, to Deliverer’s knowledge, the items listed above were in Deliverer’s custody and control and are being delivered for the purpose stated herein. Recipient acknowledges receipt of the items identified above and accepts responsibility for their safekeeping, use, and return according to the terms of this Agreement.

Recipient agrees to not permit unauthorized duplication, distribution, or use of keys or access devices. Recipient shall be liable for loss, theft, or damage to keys or devices while in Recipient’s possession, including reasonable replacement and rekeying costs. Recipient shall immediately notify Deliverer in writing of any loss, theft, or suspected unauthorized access. Deliverer reserves the right to require rekeying or replacement of locks and may charge Recipient for all reasonable costs incurred to restore security if Recipient fails to timely notify Deliverer.

If keys are not returned when required, Deliverer may recover the reasonable cost of replacement, rekeying, and collection, and Recipient shall indemnify Deliverer for such costs and any damages incurred as a result of failure to return keys.

Representations; Limited Liability; Indemnity

Deliverer makes no warranty, express or implied, regarding the condition, security, or fitness of locks, keys or electronic access systems. Recipient accepts keys and devices in their current condition and assumes all responsibility for their operation and any expenses required to make them functional.

Recipient agrees to indemnify and hold Deliverer harmless from and against any claims, liabilities, losses, costs, or damages arising from Recipient’s possession, use, or misuse of keys or access devices, except to the extent caused by Deliverer’s gross negligence or willful misconduct.

Default; Remedies; Governing Law

Failure by Recipient to comply with the obligations in this Agreement constitutes a default.
