REAL ESTATE KITCHEN AGREEMENT

This Real Estate Kitchen Agreement (the Agreement) is entered into on between the undersigned parties for use of the kitchen area located on the Property described below.

GRANT OF LICENSE / PERMITTED USE

The Property Owner grants to the Kitchen Operator a non-exclusive license to use the kitchen area located at the Property solely for the following purpose: . Use is limited to the equipment, appliances and areas expressly described in this Agreement and any inventory attached hereto.

Operator shall maintain commercial general liability insurance with minimum limits of , and shall maintain workers' compensation coverage as required by law. Operator shall obtain and maintain any required health permits, food handling licenses, and inspections, and shall comply with all applicable health, safety and building codes.

INDEMNITY AND LIABILITY

Operator agrees to indemnify, defend and hold harmless Owner, its agents and employees from and against any and all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of Operator's use of the kitchen area, including but not limited to claims for personal injury, property damage, foodborne illness, or breach of permit or code requirements, except to the extent caused by Owner's gross negligence or willful misconduct.

DEFAULT, REMEDIES AND TERMINATION

An Event of Default occurs if either party fails to perform any material obligation under this Agreement. Non-defaulting party shall provide written notice specifying the default and, if curable, a cure period of days to cure. If the default is not cured within the cure period, the non-defaulting party may terminate this Agreement and pursue all remedies at law or in equity, including immediate injunctive relief where appropriate.
