REAL ESTATE LAND LOT PURCHASE AND CONVEYANCE AGREEMENT

Seller represents and warrants that Seller is the lawful owner of the Property with full authority to sell, that there are no outstanding agreements to sell, no undisclosed liens, and no known material violations of law affecting the Property except as disclosed in writing to Buyer. Buyer covenants to acquire title insurance and to complete the transactions contemplated herein in good faith.

Remedies will be cumulative and shall not limit any other remedy available at law or in equity.

Notices

Any notice required under this Agreement shall be in writing and delivered to the addresses set forth above by personal delivery, nationally recognized overnight courier, or certified mail, return receipt requested, and shall be effective upon receipt.

Governing Law; Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of the state in which the Property is located. This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements, representations and understandings, whether oral or written, with respect to the subject matter hereof.

Miscellaneous

Any amendment must be in writing and signed by both parties. If any provision is held invalid, the remaining provisions will remain in full force and effect. Time is of the essence with respect to all dates and deadlines in this Agreement unless otherwise specified.
