REAL ESTATE LETTER OF ENGAGEMENT

Broker shall handle deposits, earnest money, and trust funds in accordance with applicable law and Broker's trust account procedures. Client acknowledges Broker may hold deposits in brokerage trust accounts for the sole purpose of transaction consummation.

If acting as dual agent, Broker shall obtain written informed consent and shall disclose material facts as required by law, subject to duties of confidentiality set forth below.

Confidentiality; Records

Broker agrees to maintain confidentiality of Client's non-public information except as necessary to perform services, to comply with law, or as authorized in writing by Client. Broker will maintain transaction records in accordance with applicable regulatory requirements.

Termination; Protection Period

This Letter may be terminated by either party upon written notice delivered to the other party. If a contract for sale is procured during the Term or within days after termination by a purchaser to whom Broker procured access, Broker's commission shall remain payable as set forth herein.

Default; Indemnity

If Client fails to perform under this Letter, Client shall be responsible for Broker's reasonable costs and damages resulting from such breach, including any commission due where appropriate. Client and Broker agree to indemnify and hold harmless the other from claims arising from negligent or willful acts of the indemnifying party.

Dispute Resolution; Governing Law

The parties agree that disputes arising from this Letter shall be resolved by binding arbitration under the rules mutually agreed at the time of dispute, unless otherwise required by law. This Letter shall be governed by the substantive laws of the state of without regard to choice-of-law principles.

Notices

All notices under this Letter must be in writing and delivered to the addresses provided below or as updated in writing by a party.

Entire Agreement; Modification

This Letter constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior discussions and agreements. Any modification must be in writing and signed by both parties to be effective.
