Indemnity: Licensee shall indemnify, defend and hold harmless Licensor from and against any and all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of Licensee's use or occupation of the Property, except to the extent caused by Licensor's gross negligence or willful misconduct.

Compliance; Environmental Disclosures

Licensee shall, at its sole expense, comply with all applicable laws, regulations and codes. Licensee shall not cause or permit any hazardous materials to be used, stored or released on the Property in violation of law.

Assignment; Sub-License; Transfer

Licensee shall not assign this Agreement or grant any sub-license without the prior written consent of Licensor, which consent shall not be unreasonably withheld. Any attempted assignment without consent is void and constitutes a material breach.

Default; Termination; Remedies

Events of Default include failure to pay any sum due within days after notice, material breach of permitted use, or insolvency. Licensor may terminate this Agreement upon written notice and exercise any remedy available at law or in equity, including injunctive relief and recovery of damages. The remedies provided are cumulative.

Upon termination, Licensee shall immediately vacate the licensed area and restore the Property to substantially the condition at commencement, reasonable wear and tear excepted.

Notices

All notices required or permitted under this Agreement shall be in writing and shall be delivered to Licensor and Licensee at the addresses set forth below (or such other address as a party designates in writing).

Miscellaneous Provisions

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles.

Entire Agreement: This Agreement constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior agreements and understandings. No waiver or amendment shall be effective unless in writing and signed by both parties.

Severability: If any provision is held invalid, the remaining provisions shall remain enforceable.
