What the Real Estate Limited Agency Agreement Is

A Real Estate Limited Agency Agreement is a written contract that defines a real estate broker's restricted representation when working with two or more parties in the same transaction. It sets out the narrow duties the broker will perform, the scope of authority retained by each party, and any disclosures required by state real estate law. The agreement clarifies that the broker will not provide full fiduciary representation to both sides, and it documents consent from the buyer and seller where dual or limited agency is permitted. It also establishes the agreement's effective date, term, and compensation arrangement.

Why a Limited Agency Agreement Matters

This agreement reduces conflicts by documenting consent and limits on representation, protects licensees by defining permitted actions, and provides a clear record for compliance with state disclosure rules and consumer protection laws.

Why a Limited Agency Agreement Matters

Who Typically Completes This Agreement

Licensed brokers and brokerages draft and present this agreement when a limited or dual representation situation arises.

  • Buyers who agree to limited representation and understand the broker's constrained duties.
  • Sellers who consent to the broker representing multiple parties with stated limits.
  • Managing brokers or compliance officers ensuring state disclosure and recordkeeping requirements are met.

When completed correctly this form documents informed consent and reduces later disputes over duties and confidentiality.

Core Sections Found in a Professional Limited Agency Agreement

A thorough agreement organizes responsibility for each party, discloses conflicts, and records consent. It should be concise while covering scope, compensation, confidentiality, termination, notices, and governing law.

Parties

Full legal names and capacity of broker(s), buyer(s), and seller(s); include brokerage firm and license numbers where required by state law.

Scope of Agency

A precise, itemized statement describing actions broker will perform and specific services excluded from representation to avoid ambiguity.

Limits and Conflicts

Clear description of conflicts that may arise, how they will be handled, and any information the broker will not disclose without consent.

Compensation

Fee structure, who pays commission, timing of payment, and whether compensation alters the broker's limited duties.

Term and Termination

Effective date, expiration or automatic termination triggers, and the procedure for early termination by any party.

Disclosures and Governing Law

State-required agency disclosure statements, acknowledgement of receipt, and choice of law clause specifying applicable jurisdiction.

Step-by-Step: How to Complete a Limited Agency Agreement

Follow these steps to prepare and finalize the agreement with clear consent and documented disclosures.

  • 01
Prepare Document: Populate party names, brokerage details, and scope of services.
  • 02
Add Disclosures: Include state-required agency disclosure language and any conflict warnings.
  • 03
Review with Parties: Explain limitations and obtain written or electronic consent from all parties.
  • 04
Sign and Store: Execute signatures, date the document, and retain an accessible copy in the transaction file.

How to Configure an Online Limited Agency Workflow

Set up a repeatable digital workflow that routes the agreement for review, signature, and storage while capturing required disclosures.

Document Template Create a locked template with required clauses and disclosure text.
Signature Fields Place signature, date, and initials fields for each party.
Authentication Select signer authentication method: email, SMS code, or knowledge-based steps if required.
Routing Order Set signer order or allow parallel signing depending on negotiation needs.
Archive Settings Enable automatic PDF export and retention metadata for audit and compliance.

Digital Signing and Platform Considerations

Choose an eSignature platform that supports audit trails, secure storage, and required authentication for your jurisdiction.

  • Integrations: Salesforce, Microsoft 365, NetSuite, Google Workspace, Box, Procore
  • File Types: PDF and DOCX are standard for executed copies
  • Security: TLS in transit and AES-256 at rest

Confirm the vendor supports your compliance needs (ESIGN/UETA, HIPAA if applicable) and provides a reliable audit trail for each signing event.

Where to Send and Record the Completed Agreement

A completed agreement should be sent to all signers, retained by the brokerage, and made available to compliance staff and, when required, to third parties.

  • To All Parties: Send final signed PDF to buyer, seller, and brokerage for records.
  • Brokerage Files: Store in the brokerage transaction management system per retention policy.
  • Compliance Team: Notify compliance or managing broker if required for audit.
  • MLS or Listing File: Provide disclosure copy to MLS or listing administrator if mandated.

Key Timing and Deadline Considerations

Certain timing events affect enforceability and disclosure obligations; track execution date and any notice windows specified by state law.

Disclosure Timing:

Provide agency disclosure at first substantive contact or as required by state rule.

Execution Date:

Sign and date to establish effective obligations and start any cure or termination periods.

Term Length:

Note expiration or automatic termination triggers set in the agreement.

Record Availability:

Ensure executed copies are accessible to parties within a reasonable timeframe after signing.

Revocation Window:

Follow any state-mandated notice periods for revoking limited or dual consent.

Common Mistakes to Avoid When Preparing the Agreement

  • Failing to disclose limits of representation in clear, unambiguous language can lead to professional liability and client disputes.
  • Using vague compensation language such as 'reasonable commission' instead of a specific percentage or dollar amount invites disagreement.
  • Omitting required state disclosure forms or failing to obtain written consent from both parties undermines enforceability.
  • Keeping only oral records of consent or relying on email statements without a proper audit trail increases evidentiary risk.

Consequences of an Incorrect or Missing Limited Agency Agreement

Professional Sanctions: License investigation risk
Civil Liability: Damages claims from parties
Contract Risk: Agreement unenforceable
Regulatory Fines: State commission penalties
Loss of Commission: Payment disputes
Reputational Harm: Brokerage credibility loss
