This document is a binding Real Estate Listing Agreement between the Seller and the Listing Broker/Agent. Earnest Money and Offer Presentation: Broker agrees to promptly present all offers to Seller and to assist in negotiating the terms of sale. Seller directs Broker to accept offers only upon Seller's written authorization.

Seller represents and warrants that Seller is the lawful owner of the Property and has full authority to execute this Agreement and to convey marketable title at closing. Seller further represents that there are no undisclosed liens, encumbrances, or leases affecting the Property except as disclosed below.

5. Access, Showings, and Seller Obligations

Seller agrees to permit reasonable access for showings, broker inspections, photography, and open houses during the listing term. Seller will disclose all known defects affecting habitability and safety, and will maintain the Property in substantially the same condition as of the date of this Agreement with ordinary wear and tear excepted.

6. Default, Commission Entitlement, and Remedies

If, during the listing term, the Property is sold, exchanged, or otherwise conveyed by any means to a purchaser produced by Broker or as a result of Broker's efforts, Seller agrees to pay the commission described herein. Seller also agrees that Broker shall be entitled to the agreed commission if Seller conveys the Property during any agreed extension period to a purchaser introduced by Broker during the listing term.

If Seller breaches this Agreement, Broker may pursue available remedies including specific performance, injunctive relief, or monetary damages, and may recover costs and reasonable attorneys' fees where applicable.

7. Indemnification, Confidentiality, and Dual Agency

Seller agrees to indemnify and hold Broker harmless from claims arising from Seller's misrepresentations or failure to disclose material facts. Parties acknowledge that dual agency may occur only with separate, informed written consent of all parties; absent such consent, Broker will not act as a dual agent.

8. Governing Law; Entire Agreement

This Agreement is governed by the laws of the state where the Property is located. This Agreement, together with any addenda signed by the parties, constitutes the entire agreement between Seller and Broker and supersedes all prior negotiations and understandings relating to the listing of the Property.

9. Miscellaneous Provisions

Notices under this Agreement shall be in writing and delivered to the addresses set forth above. Time is of the essence for dates specified in this Agreement. If any provision is held unenforceable, the remaining provisions shall remain in full force.
