REAL ESTATE LISTING AGREEMENT

This Real Estate Listing Agreement (the Agreement) is entered into by and between:

PROPERTY IDENTIFICATION

LISTING TERM AND PRICE

The Broker is hereby granted the exclusive right to sell the Property commencing on and terminating on , unless extended or earlier terminated in accordance with this Agreement.

COMPENSATION AND COMMISSION

Seller agrees to pay the Broker a commission as compensation for Broker's services as set forth below. Commission is earned upon the closing of a sale of the Property or upon the Broker procuring a ready, willing and able buyer on terms acceptable to Seller.

Commission shall be payable from the proceeds of closing and shall be paid regardless of whether the Buyer was procured by Broker, Seller, or another party, provided the transaction closes within the term hereof or within the Protection Period described below.

BROKER DUTIES; MARKETING AUTHORIZATION

Broker is authorized to: list the Property in cooperative listing services, place For Sale signs, advertise in print and digital media, hold open houses, arrange and supervise showings, and employ assistants, vendors, and photographers as reasonably necessary. Broker may submit the Property to multiple listing services (MLS) and other marketing venues.

Seller grants Broker authorization to place a lockbox and to allow reasonable access to prospective buyers and their agents for purposes of showing the Property.

SELLER WARRANTIES, REPRESENTATIONS AND DISCLOSURES

Seller represents and warrants to Broker that Seller is the legal owner of the Property and has full authority to execute this Agreement. Seller will provide all mandated property condition disclosures and will not knowingly withhold material facts affecting the Property.

INSPECTIONS, ACCESS AND POSSESSION

Seller shall permit reasonable access for inspections, appraisals and showings. Seller will deliver possession in accordance with the purchase contract unless otherwise agreed in writing.

DEFAULT, REMEDIES AND TERMINATION

If Seller materially breaches this Agreement, Broker shall be entitled to pursue available remedies at law or in equity, including but not limited to recovery of the commission specified herein and reasonable costs. If Broker materially breaches, Seller may terminate this Agreement and pursue remedies for damages.

INDEMNIFICATION; INSURANCE

Seller agrees to indemnify and hold Broker harmless from claims, liabilities and expenses arising out of Seller's failure to disclose known defects or material facts, except to the extent caused by Broker's gross negligence or willful misconduct. Broker shall maintain customary professional liability and general liability insurance.

NOTICES

All notices required or permitted hereunder shall be in writing and delivered to the addresses set forth below or to such other address as a party designates by notice.

GOVERNING LAW; ENTIRE AGREEMENT; MODIFICATION

This Agreement shall be governed by the laws of the state of . This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations and agreements. Any modification must be in writing and signed by both parties.

MISCELLANEOUS

The parties acknowledge that Broker may receive and retain customary data and contact information from prospective buyers and cooperating brokers. Electronic signatures shall have the same force and effect as original signatures.
