Default, Remedies and Indemnity

If Seller materially breaches this Addendum or the Listing Agreement, Seller shall be liable for Broker's actual damages, including but not limited to reasonable marketing costs and any commission due in accordance with the terms herein if a procuring cause claimant presents a ready, willing and able buyer. Broker's remedies shall be cumulative and in addition to any other remedies available at law or in equity.

Seller agrees to indemnify and hold Broker harmless from any liability, loss or expense arising from Seller's misrepresentations or failure to disclose material information in connection with this Addendum or the Listing Agreement.

Governing Law and Miscellaneous

This Addendum shall be governed by and construed in accordance with the laws of the State of . This Addendum and the Listing Agreement constitute the entire agreement of the parties with respect to the subject matter hereof and supersede prior agreements and understandings as to the same, except for terms of the Listing Agreement not modified herein which remain in full force.
