Broker Duties; Compensation; Remedies

Broker Duties: Broker will use reasonable efforts to market the Property, present all offers, assist in negotiation and closing, and comply with all applicable brokerage laws and regulations. Broker does not guarantee sale within the Listing Term.

Compensation: Owner agrees to pay Broker the commission set forth above if, during the Listing Term or any extension agreed in writing, Broker or any cooperating broker procures a ready, willing and able buyer at the Listing Price or any price acceptable to Owner. Commission is earned upon conveyance or closing unless otherwise agreed in writing.

Remedies: Owner acknowledges that liquidated damages or equitable relief, including specific performance, may be appropriate for breach of this Agreement. Owner agrees Broker may pursue collection of earned commission, including reasonable attorneys' fees and costs.

Indemnification; Holding Harmless

Owner shall indemnify, defend and hold Broker and Broker's agents harmless from and against claims, liabilities, damages and expenses arising from Owner's breach of representation, any concealed defects known to Owner, or Owner's failure to disclose material information. This indemnity survives closing.

Termination; Survival

Either party may terminate this Agreement for cause upon written notice specifying the breach and providing a reasonable opportunity to cure. Owner remains liable for commissions earned under this Agreement for transactions procured prior to termination or those resulting from leads generated during the Listing Term. Sections regarding compensation, indemnity, and dispute resolution survive termination.

Governing Law; Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of the state where the Property is located. This Agreement constitutes the entire agreement between the parties regarding the listing of the Property and supersedes all prior written or oral agreements. Amendments must be in writing and signed by both parties.
