REAL ESTATE LISTING CONTRACT

This Real Estate Listing Contract (the Agreement) is made effective as of between the undersigned Seller and the Listing Broker identified below. Seller engages Broker to act as Seller's exclusive agent to market and sell the Property under the terms set forth herein.

Compensation shall be paid to Broker upon closing or as otherwise agreed in writing. Broker is authorized to offer cooperating brokers a portion of compensation in the amount of (percent or flat amount to be specified in writing).

BROKER AUTHORITY AND DUTIES

Broker is authorized to list the Property in residential multiple listing services, publish advertisements, display signage, arrange showings, hold open houses, and negotiate offers on Seller's behalf. Broker will exercise reasonable professional efforts to procure a buyer on terms acceptable to Seller. Broker is not authorized to modify the Listing Price, accept an offer, or execute contracts on behalf of Seller without Seller's prior written consent.

Seller acknowledges that Seller is responsible for charges expressly agreed in writing, including but not limited to professional photography, premium advertising, staging, or other agreed marketing expenses. If Seller does not reimburse expenses as agreed, Broker may deduct such unpaid expenses from Broker's compensation at closing.

SELLER WARRANTIES AND DISCLOSURES

Seller represents and warrants to Broker that Seller has authority to sell the Property and that the information provided to Broker is true, complete, and accurate to Seller's knowledge. Seller shall timely provide all statutorily required disclosures to prospective buyers.

TERMINATION, DEFAULT, AND REMEDIES

This Agreement may be terminated by mutual written agreement of the parties or as otherwise provided herein. If Seller breaches this Agreement, Seller shall be liable for Broker's actual damages, including any out-of-pocket marketing expenses and a reasonable portion of the anticipated commission if a buyer procured by Broker completes a purchase within the protected period specified below. If Broker breaches, Seller's remedies shall be limited to actual damages. The parties agree to use good faith efforts to mitigate damages.

INDEMNIFICATION, LIMITATION, AND INSURANCE

Seller shall indemnify and hold Broker harmless from losses, claims, demands, liabilities and expenses arising from Seller's misrepresentations, failure to disclose, or breach of this Agreement, except to the extent caused by Broker's gross negligence or willful misconduct. Broker shall maintain insurance customary in the brokerage industry and shall provide proof upon reasonable request.

NOTICES

All notices under this Agreement must be in writing and delivered to the contact addresses provided below. Delivery by hand, certified mail, or nationally recognized overnight courier is effective upon receipt.

MISCELLANEOUS

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the state in which the Property is located. Venue for any action arising out of this Agreement shall be in the appropriate state or federal court in the jurisdiction where the Property is situated.

Entire Agreement and Amendment: This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior written or oral agreements. Any amendment or modification must be in writing and signed by both parties.
