Seller Representations and Disclosures

Seller represents that Seller is the lawful owner of the Property, has full authority to enter into this Agreement, and that there are no undisclosed encumbrances, easements, or litigation affecting the Property other than those disclosed below.

Broker Duties; Commission and Termination

Broker will use commercially reasonable efforts to procure buyers, coordinate showings, communicate offers, and advise Seller on market conditions. Broker makes no warranty as to sale price or timing. Seller agrees to refer all inquiries regarding sale to Broker during the Term.

Commission becomes due and payable if, during the Term or any agreed holdover period, the Property is sold, exchanged, or otherwise conveyed to any person who: (a) is introduced to the Property by Broker, Seller, or any cooperating broker; or (b) negotiates directly with Seller to purchase the Property. If Seller breaches this Agreement and sells to a buyer procured by Broker, Seller remains liable for full commission.

Either party may terminate this Agreement in writing for material breach by the other party, provided the breaching party is given ten (10) days' written notice and an opportunity to cure. Termination does not relieve Seller of obligations to pay commissions earned prior to termination pursuant to this Agreement.

Access; Keys; Safety

Seller will provide Broker with necessary keys, alarm codes, and access instructions. Broker is authorized, where permitted, to place a lockbox. Broker will exercise reasonable care in arranging showings; Seller remains responsible for securing personal property and for known safety hazards.

Indemnification; Notices; Governing Law

Seller will indemnify and hold Broker harmless from claims, costs, and expenses (including reasonable attorneys' fees) arising from Seller's misrepresentation, failure to disclose material facts, or breach of this Agreement. Notices shall be given in writing to the addresses provided in this Agreement and are effective upon delivery by hand, certified mail, or other verifiable delivery method.

This Agreement is governed by the laws of the state in which the Property is located. This Agreement constitutes the entire understanding between the parties concerning the Listing and supersedes all prior oral or written agreements.

Acknowledgment

Seller acknowledges receipt of a copy of this Agreement, confirms all information provided is true and complete to the best of Seller's knowledge, and authorizes Broker to undertake marketing and brokerage activities described herein. Seller further acknowledges that Broker has disclosed any material agency relationships as required by law.
