Marketing Authorization and Photo Release

Seller authorizes Listing Broker and cooperating brokers to market the Property by means consistent with customary brokerage practices, including but not limited to multiple listing services, print and digital advertising, signage, and broker open houses. Seller Representations and Warranties

Seller represents and warrants that Seller is the lawful owner of the Property with full power and authority to enter this Listing Agreement; that there are no undisclosed encumbrances, leases, or litigation affecting the Property except as disclosed in writing to Broker; and that all information provided to Broker is true and correct to Seller's actual knowledge. Seller agrees to promptly notify Broker in writing of any change in the status of title, condition, occupancy, or other material facts affecting the marketability of the Property.

Commission, Termination and Remedies

If, during the term of this Listing Agreement or any mutually agreed extension, the Property is sold, exchanged, leased with option to purchase, or transferred in any manner to a party introduced to the Property by Broker or cooperating brokers, Seller shall pay the commission set forth above. Commission shall be earned upon the execution of a binding contract of sale, regardless of closing. If Seller materially breaches this Agreement, Broker shall be entitled to pursue available remedies at law or equity, including recovery of earned commission and costs of collection including reasonable attorney fees.

Indemnification; Governing Law; Entire Agreement

Seller agrees to indemnify and hold harmless Broker and Listing Agent from and against liabilities, claims, expenses and damages arising out of Seller's misrepresentations or breach of this Agreement, except to the extent caused by Broker's gross negligence or willful misconduct. This Agreement shall be governed by and construed in accordance with the laws of the state in which the Property is situated. This Listing Agreement contains the entire agreement of the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether oral or written.

Miscellaneous Provisions

Notices required by this Agreement shall be in writing and delivered to the addresses shown above by hand, certified mail, or other agreed method. Time is of the essence for performance of all obligations under this Agreement where applicable. Should any provision of this Agreement be held invalid, the remaining provisions shall continue in full force and effect.
