This Listing Agreement (the Agreement) is made effective as of between the undersigned Seller and the Listing Broker. The parties hereby agree to the terms set forth below.

BROKERAGE RELATIONSHIP / DUAL AGENCY

Seller acknowledges receipt of brokerage relationship disclosures as required by law. Seller consents to the possibility of dual agency if Broker represents both Buyer and Seller, provided Seller gives separate written consent at the time dual agency arises.

TERMINATION, DEFAULT & REMEDIES

This Agreement may be terminated by mutual written consent or by operation of law. If Seller terminates this Agreement without cause during the Listing Period or withdraws the Property in breach of this Agreement, Seller shall remain responsible for the commission as set forth herein if Broker procured a ready, willing and able buyer or if Seller defaults in a manner that deprives Broker of earned commission.

Remedies available to Broker shall include recovery of actual damages, fees, and costs, including reasonable attorneys' fees, and any commission earned according to the terms of this Agreement.

INDEMNIFICATION

Seller agrees to indemnify, defend and hold Broker harmless from claims, losses or damages arising from Seller's breach of representation, failure to disclose material facts, or other wrongful acts by Seller related to the Property, except to the extent such claims arise from Broker's gross negligence or willful misconduct.

GOVERNING LAW; ENTIRE AGREEMENT

This Agreement shall be governed by and construed in accordance with the laws of the state in which the Property is located. This Agreement, including any addenda and signed disclosures incorporated herein, constitutes the entire agreement between the parties and supersedes all prior negotiations and agreements, whether oral or written. Any modification must be in writing and signed by both parties.

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
