REPRESENTATIONS, AUTHORITY AND INDEMNITY

Seller represents that Seller is the lawful owner of the Property, has full authority to execute this Schedule and the Listing Agreement, and that all information and documents furnished to Broker are accurate to Seller's best knowledge. Seller agrees to promptly notify Broker of any changes to the information provided. Seller shall indemnify and hold harmless Broker and cooperating brokers from liabilities arising from Seller's misrepresentations or failure to disclose material facts.

Broker's duties include marketing the Property, presenting offers, and cooperating in good faith with cooperating brokers. Broker is authorized to place the Property in the MLS and to present offers in accordance with the Listing Agreement. Broker will use reasonable efforts to maintain accuracy of marketing materials; however Broker is not responsible for typographical errors, and Seller must approve any material deviations from representations supplied by Seller.

DEFAULT, TERMINATION, AND GOVERNING LAW

This Schedule is subject to the terms of the Listing Agreement, including provisions governing default and termination. In the event of a dispute arising under this Schedule, the parties agree the matter will be governed by the laws of the state in which the Property is located. Remedies for breach include those available at law or in equity, including recovery of reasonable costs and attorney's fees where authorized by contract or statute.

AMENDMENTS AND ENTIRE AGREEMENT

This Schedule, together with the Listing Agreement, constitutes the entire agreement between the parties with respect to the subject matter hereof. Any amendment or modification must be in writing and signed by both Seller and Broker. No oral statements shall modify the written terms of this Schedule.
