Seller acknowledges that commission is earned if a ready, willing and able buyer is procured by any party during the listing term, or if a buyer is procured after termination during the protection period defined below, unless otherwise agreed in writing.

4. BROKER DUTIES & AUTHORIZATION

Broker is authorized to list the Property for sale at the Listing Price, to advertise and place signs, to submit information to listing services, to show the Property to prospective buyers, and to negotiate offers. Broker agrees to exercise reasonable efforts to procure a buyer and to present all offers promptly to Seller.




5. SELLER REPRESENTATIONS & DISCLOSURES

Seller represents and warrants that Seller is the lawful owner of the Property and has full authority to enter into this Agreement. Seller will disclose all material facts known to Seller affecting the value or desirability of the Property and will permit Broker reasonable access for showings and inspections.

6. OFFERS, ESCROW & CLOSING

Broker will present all written offers to Seller promptly. Acceptance of an offer by Seller will be in writing. All deposits and escrow instructions shall be held by the designated escrow agent in accordance with applicable trust account requirements. Closing shall occur on or before:

7. TERMINATION & DEFAULT

Either party may terminate this Agreement as provided herein. If Seller terminates without cause during the listing term in breach of this Agreement, Seller remains liable for any earned commission and reasonable costs incurred by Broker. If Broker materially fails to perform duties described in this Agreement, Seller may terminate after providing written notice and a reasonable cure period.

8. MISCELLANEOUS

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the state in which the Property is located. Venue for disputes shall be the state or federal courts in the county where the Property is located.

Entire Agreement: This Agreement constitutes the entire agreement between the parties concerning the subject matter and supersedes all prior negotiations and agreements. Any modification must be in writing and signed by both parties.

9. ACKNOWLEDGMENTS

Seller acknowledges receipt of a copy of this Agreement and authorizes Broker to act on Seller's behalf as set forth herein. Seller certifies that the information provided in this Agreement and in any accompanying disclosures is true and correct to the best of Seller's knowledge.
