REAL ESTATE LLC OPERATING AND PROPERTY CONTRIBUTION AGREEMENT

1. Property Identification and Contribution

The Contributing Member hereby contributes the real property described above to the LLC in exchange for membership interest as set forth below. The LLC accepts the contribution subject to the terms, representations and warranties in this Agreement.

3. Membership Interest and Distributions

Distributions of cash flow and items of income, gain, loss, deduction and credit shall be allocated in accordance with membership percentage and the provisions of the LLC's operating rules. The LLC shall maintain books and records and furnish statements to members on a periodic basis.

4. Management; Authority

The Manager, if any, shall have authority to enter contracts, obtain insurance, engage property managers and settle claims on behalf of the LLC. Major decisions including sale, refinance or additional capital calls require the affirmative vote of members holding at least of membership interests.

5. Representations, Warranties and Disclosures

The Contributing Member represents and warrants that the Member is the lawful owner of the Property, has full authority to transfer the Property, and that the Property is transferred free and clear of all undisclosed liens, except as set forth in this Agreement.

11. Miscellaneous Provisions

Notices shall be delivered to the addresses set forth above by personal delivery, overnight courier or certified mail. Any amendment of this Agreement must be in writing and signed by members holding the percentage of interests required herein.
