Default, Remedies and Termination

Except as expressly modified herein, the rights and remedies of the parties upon default shall be those set forth in the Management Agreement. In addition, either party may terminate this Addendum upon thirty (30) days' written notice to the other party for material breach that remains uncured at the expiration of such thirty (30) day period.

Indemnification

Owner shall indemnify, defend and hold Manager harmless from liabilities, claims, losses, costs and expenses (including reasonable attorneys' fees) arising out of Owner's failure to maintain insurance or to disclose known property conditions, except to the extent caused by Manager's gross negligence or willful misconduct.

Notices

Governing Law; Entire Agreement; Amendment

This Addendum shall be governed by and construed in accordance with the laws of the jurisdiction where the Property is located. This Addendum, together with the Management Agreement, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings. This Addendum may be amended only by a written instrument signed by both parties.

Miscellaneous Provisions
