PROPERTY IDENTIFICATION

MARKETPLACE SERVICES; AUTHORIZATION

Provider grants Marketplace a non-exclusive right to list, advertise, syndicate and promote the Property on Marketplace's online platform and affiliated distribution channels. Marketplace may use Provider-supplied content, photographs, floor plans and data in connection with such listing. Marketplace shall exercise reasonable care in publishing and presenting the listing but is not responsible for third-party republishes or for edits made by external distribution partners after distribution.

Provider authorizes Marketplace to accept inquiries, to collect contact information of prospective buyers or tenants, and to transmit referrals to Provider or Provider's authorized agents for the purpose of marketing and sale or lease of the Property.

LISTING CONTENT, REPRESENTATIONS AND DISCLOSURES

Provider represents and warrants that all information supplied to Marketplace is complete and accurate, including square footage, room counts, legal descriptions, title information, and seller disclosures. Provider shall promptly notify Marketplace in writing of any change to listing information.

FEES, PAYMENTS AND COMMISSIONS

Provider agrees to pay Marketplace the fees and commissions as set forth below for marketplace services rendered in connection with the Property.

INSPECTION, CLOSING AND POSSESSION

Inspection period (if applicable) shall be days from the date of an executed purchase agreement. Closing date shall be and possession date shall be .

INTELLECTUAL PROPERTY AND DATA

Provider grants Marketplace a perpetual, royalty-free license to use, reproduce, display and distribute listing content provided by Provider solely for the marketing and sale or lease of the Property. Provider retains ownership of original content. Marketplace may collect and analyze anonymized usage data and aggregate statistics and shall own such aggregated data.

INDEMNIFICATION; LIMITATION OF LIABILITY

Each party shall indemnify, defend and hold harmless the other party from claims, liabilities, losses and expenses resulting from breach of this Agreement, gross negligence, willful misconduct, or violation of law by the indemnifying party. Marketplace's aggregate liability arising out of this Agreement shall not exceed the total fees paid to Marketplace by Provider in the twelve months prior to the event giving rise to liability. Neither party shall be liable for consequential, special or punitive damages.

TERM, TERMINATION AND SURVIVAL

The term of this Agreement begins on the Effective Date and continues until terminated by either party upon days' written notice. Termination shall not relieve Provider of amounts due for services rendered prior to termination. Sections relating to fees, indemnification, confidentiality and limitation of liability shall survive termination.

CONFIDENTIALITY

Each party shall treat non-public business information disclosed by the other party as confidential and shall not disclose such information except to employees, agents or advisors who have a need to know and who are bound by confidentiality obligations at least as protective as those in this Agreement.

GOVERNING LAW; ENTIRE AGREEMENT

This Agreement shall be governed by and construed in accordance with the laws of the state mutually selected by the parties. This Agreement, together with any exhibits or addenda signed by both parties, constitutes the entire agreement between the parties and supersedes all prior negotiations, representations or agreements, written or oral, relating to its subject matter.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth in this Agreement or to such other address as either party may designate by written notice. Notices shall be deemed delivered on the date of delivery if delivered personally, by reputable overnight courier, or by electronic mail with confirmation of receipt.

MISCELLANEOUS

No amendment to this Agreement shall be effective unless in writing and signed by both parties. Neither party may assign this Agreement without the prior written consent of the other, except that Marketplace may assign to an affiliate or successor in connection with a corporate reorganization or sale of substantially all assets.
