Bidder represents that the Bidder has full authority to submit this Master Bid, that the funds represented herein are available and that the Bidder's execution of this Bid creates a binding obligation upon acceptance by the Seller in writing. Bidder warrants that no material undisclosed liabilities related to the Property are known to Bidder and that all statements made in this Bid are true and correct as of the Bid Date.

This Bid is conditioned upon Seller's acceptance in writing and deposit of earnest money into the named escrow. Unless otherwise expressly stated in writing, Seller's acceptance must be delivered to Bidder on or before . If Seller accepts, the parties shall open escrow and proceed to closing consistent with the terms herein.

DEFAULT, REMEDIES, AND TERMINATION

If Bidder fails to timely perform following Seller acceptance, Seller may retain earnest money as liquidated damages or pursue specific performance or other available remedies at law or in equity. If Seller fails to convey marketable title as required, Bidder may elect termination and return of earnest money or seek specific performance. The parties agree damages are an inadequate remedy and equitable relief shall be available.

CLOSING, TITLE, AND COSTS

Title to the Property shall be conveyed by grant deed (or other appropriate instrument) free of liens or encumbrances except those accepted in writing by Bidder. Title insurance, escrow fees, recording costs and prorations of taxes, assessments and utilities shall be allocated as follows unless otherwise agreed in writing: Seller pays ; Bidder pays .

GOVERNING LAW & ENTIRE AGREEMENT

This Master Bid and any resulting purchase agreement shall be governed by the laws of the state where the Property is located. This Bid constitutes the entire agreement between the parties concerning the subject matter herein and supersedes any prior negotiations, understandings or agreements, whether written or oral.
