Terms and Conditions

1. Acceptance: This Quote is an offer to sell materials identified herein. Acceptance occurs only upon Supplier's written confirmation or Supplier's receipt of deposit in accordance with the Payment Terms. Purchase orders referencing this Quote must include the Quote Number to be binding.

2. Price Validity: Prices are firm only through the Valid Until date above. After that date, Supplier may adjust pricing to account for changes in material costs, tariffs, or other market factors. Quoted lead times are estimates and not guarantees.

3. Delivery & Risk of Loss: Delivery terms are as stated in Delivery Terms above. Risk of loss transfers to Client upon delivery to the jobsite or designated delivery point. Any storage, inside delivery, or special handling requested by Client may incur additional charges.

4. Title and Security Interest: Title to all goods remains with Supplier until full payment is received. Supplier reserves a purchase-money security interest in delivered materials as permitted by law.

5. Warranty and Remedies: Supplier warrants materials only to the extent of manufacturer's warranties, if any. Supplier disclaims all other warranties, express or implied, including merchantability and fitness for a particular purpose. Client's exclusive remedy for breach is limited to replacement or refund of the purchase price of nonconforming materials, at Supplier's option.

6. Returns and Cancellation: Custom or special-order materials are non-cancellable and non-returnable. Standard materials returned without prior written consent may be subject to restocking fees and must be returned in original condition.

7. Indemnity: Client shall indemnify, defend, and hold Supplier harmless from claims arising out of Client's use, installation, or modification of supplied materials, except to the extent caused by Supplier's gross negligence or willful misconduct.

8. Force Majeure: Supplier is not liable for delays or failures due to causes beyond its reasonable control, including but not limited to shortages, strikes, acts of government, transport interruption, or severe weather. In such events, delivery obligations are suspended for the duration of the event.

9. Governing Law and Venue: This Quote and any resulting contract shall be governed by the laws of the state governing the project location. Venue for disputes shall be the state or federal courts located within the county where the property is located.

10. Entire Agreement: This Quote, together with any written order confirmation, constitutes the entire agreement between the parties concerning the materials quoted and supersedes prior negotiations and representations.
