Insurance, Liability and Indemnification

Mentor provides guidance but assumes no liability for Mentee's independent business decisions. To the extent permitted by law, Mentor's total liability arising from this Agreement is limited to the total fees paid by Mentee. Mentee shall indemnify and hold Mentor harmless from liabilities arising from Mentee's acts or omissions in reliance on mentorship.

Termination and Remedies

Either party may terminate this Agreement upon written notice for material breach if the breach remains uncured after fifteen (15) days. Upon termination, Mentor is entitled to payment for services performed through the termination date and retention of any non-refundable fees. Remedies are cumulative and not exclusive.

This Agreement shall be governed by the laws of the state indicated below. This document constitutes the entire agreement between the parties concerning the subject matter and supersedes prior agreements, whether written or oral. Modifications must be in writing and signed by both parties.
