Lessee shall return the property in the same condition as received, ordinary wear and tear excepted. Lessor may withhold from the security deposit any costs reasonably incurred to remedy damage, excessive cleaning, or repair. Lessee is responsible for all damage caused by guests, vendors, or invitees and agrees to reimburse Lessor within of invoice for repairs.

9. Cancellation, Force Majeure & Refunds

If Lessee cancels more than days prior to the event, deposit will be refunded less administrative fees. If cancellation occurs within the deposit non-refundable period, the deposit shall be retained. In the event of conditions beyond the reasonable control of either party (force majeure), the parties shall use reasonable efforts to reschedule. If rescheduling is not possible, Lessor may refund amounts paid less reasonable costs incurred.

10. Indemnity, Waiver & Release

Lessee shall indemnify and hold harmless Lessor, its agents, employees, and contractors from and against any claim, demand, loss, liability, cost or expense (including reasonable attorneys’ fees) arising out of Lessee’s use of the property, including acts or omissions of guests, vendors, invitees, or contractors engaged by Lessee. This indemnity shall survive termination of this Agreement.

11. Compliance with Laws & Permits

Lessee is responsible for obtaining any permits, licenses, or approvals required by local authorities for the event (including alcohol permits, fire department approvals, and temporary structure permits). Lessee shall comply with all applicable laws, ordinances, and regulations, and shall ensure that vendors and contractors comply as well.

12. Default and Remedies

If Lessee defaults in the performance of any obligation under this Agreement, Lessor may terminate this Agreement upon written notice and pursue any legal or equitable remedies available. Lessee shall be liable for reasonable costs and expenses incurred by Lessor due to Lessee’s default, including attorneys’ fees.

13. Governing Law; Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of the state in which the property is located. This Agreement contains the entire understanding of the parties with respect to the subject matter hereof and supersedes all prior agreements, understandings, and negotiations, whether written or oral.

14. Notices

Notices under this Agreement shall be delivered to the contact information set forth in Section 1 and shall be effective upon personal delivery, confirmed electronic delivery, or three business days after deposit in the United States mail, postage prepaid.
