1. Effect of Amendment. Except as expressly modified by this Amendment, all other terms and conditions of the Original Agreement remain in full force and effect. In the event of any conflict between the terms of the Original Agreement and this Amendment, the terms of this Amendment shall control.

2. Counterparts; Electronic Signatures. This Amendment may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument. Signatures transmitted by electronic means or facsimile shall be binding and treated as original signatures.

3. Governing Law; Venue. This Amendment shall be governed by and construed in accordance with the substantive laws of the state identified in the Original Agreement. Venue for any dispute arising out of this Amendment shall lie exclusively in the state or federal courts located in the county specified in the Original Agreement.

4. Default and Remedies. Except as modified herein, the default, cure and remedy provisions of the Original Agreement shall apply to this Amendment. The non-defaulting party shall be entitled to all remedies available at law or in equity, including specific performance when appropriate.

5. Entire Agreement. This Amendment and the Original Agreement (as modified) constitute the entire agreement between the parties with respect to the subject matter hereof and supersede all prior negotiations, understandings and agreements regarding such subject matter.

6. Further Assurances. Each party agrees to execute and deliver such further documents and to take such further actions as may be reasonably necessary to effectuate the provisions of this Amendment.

Each party acknowledges and agrees that: (a) the party has had the opportunity to seek independent legal advice regarding this Amendment; (b) the party has read and understands the terms of this Amendment; and (c) the party is authorized to execute this Amendment on behalf of the party and bind the party to its terms.
