What a Real Estate NCND Agreement Does

A Real Estate NCND Agreement (Non-Circumvention, Non-Disclosure) is a contract used to protect confidential deal information and source relationships in property transactions. It combines confidentiality obligations with non-circumvention promises so recipients cannot bypass brokers, introducers, or partners to pursue the opportunity directly. Typical uses include off-market property leads, joint-venture introductions, brokered dispositions, and investor sourcing. The agreement defines protected information, the permitted uses, duration, exclusions, and remedies for breach, and can be executed electronically under U.S. e-signature laws when the parties consent to electronic records.

Why parties use a Real Estate NCND Agreement

An NCND preserves the value of introductions and sensitive property details by preventing circumvention and unauthorized disclosure, establishing enforceable remedies and clear handling rules when shared across brokers, investors, and principals.

Why parties use a Real Estate NCND Agreement

Who typically signs a Real Estate NCND Agreement

Brokers, property owners, investors, and service providers commonly use NCNDs to protect deal flow and commissions during early-stage discussions.

  • Commercial brokers and agents protecting off-market listings and commission sources.
  • Investors and funds receiving proprietary deal pipelines or financial models.
  • Property owners, developers, and joint-venture partners sharing sensitive valuation or development plans.

The agreement clarifies rights and limits for each role and helps reduce disputes over introductions and lost deal opportunities.

Primary signer roles

Broker

Real estate brokers or introducers who supply off-market opportunities and expect commission protection. Their narrative should include identification of the source, scope of introductions, and remedies for circumvention, typically in multiple short clauses to enable enforceability.

Investor / Buyer

Acquirers, funds, or private investors who receive confidential materials and must accept limits on use and disclosure. Their obligations usually include non-disclosure, non-circumvention, and acknowledgement of exclusive negotiation rights for stated periods.

Core components to include in a Real Estate NCND Agreement

A complete NCND should clearly define terms, scope, obligations, duration, exceptions, and remedies so parties and counsel can assess risk and enforce protections without ambiguity.

Parties

Full legal names and business entities for each signer, including any affiliates or controlled entities covered by the agreement to avoid gaps in enforcement.

Definitions

Precise definitions of Confidential Information, Introductions, and Protected Contacts with examples and exclusions for information already public or independently developed.

Non-Disclosure

Obligations restricting use, copying, and dissemination of confidential materials, with permitted disclosures limited to employees, advisors, or affiliates on a need-to-know basis.

Non-Circumvention

A promise not to bypass, avoid, or circumvent the introducer to engage with identified sellers, buyers, or partners for a defined period and within specified territories.

Term and Survival

The agreement term and survival clauses specifying how long confidentiality and non-circumvention survive after termination, including any carve-outs for information retention.

Remedies

Contract remedies such as injunctive relief, liquidated damages or measurement of lost commissions, plus attorney fees and governing law for dispute resolution.

Information to collect in the agreement

Full legal names: Exact entity or person names
Contact details: Street address, email, phone
Protected contacts: Named buyers/sellers list
Scope limits: Territory and deal types
Effective date: MM/DD/YYYY format
Signature method: In-person or e-signature

Step-by-step: completing a Real Estate NCND Agreement

Follow these steps to prepare, review, and execute an enforceable NCND for a real estate transaction.

  • 01
Identify parties: List full legal names and affiliates to include.
  • 02
Define scope: Specify properties, contacts, territory, and time limits.
  • 03
Add remedies: Describe injunctive relief and damages or fees.
  • 04
Execute: Sign, date, and distribute executed copies to all parties.

Configuring an online NCND signing workflow

Set up an e-signature workflow that secures identity, captures an audit trail, and stores the executed agreement for retrieval.

Field Configuration
Signature Type Electronic signature with audit trail
Authentication Email + optional SMS or KBA
Retention Store PDF/A with audit certificate
Notifications Automated reminders and final copies

Digital signing and file format needs

Choose a platform that supports PDF/Word uploads, secure storage, and integrations with your business systems.

  • Integrations: Salesforce | NetSuite | Google Workspace
  • Formats: PDF, DOCX, HTML supported
  • Security: TLS 1.2/1.3 and AES-256

Ensure the platform captures a complete audit trail, supports your chosen signer authentication, and enables long-term export in PDF/A for retention.

How electronic execution works for an NCND

A typical e-execution flow secures consent, verifies identity, captures the signature, and issues a signed copy with an audit log.

  • Upload document: Sender uploads the NCND file to the platform.
  • Place fields: Add signature, date, and initial fields as required.
  • Authenticate signer: Use email link, SMS code, or stronger methods.
  • Complete and archive: Signed PDF and certificate issued to parties.

Typical timing and deadline considerations

NCNDs include several time-sensitive items that affect enforceability, disclosure windows, and post-termination obligations.

Effective Date:

Date when obligations begin (MM/DD/YYYY).

Term length:

Commonly 1–5 years unless otherwise agreed.

Survival period:

Confidentiality often survives for 2–5 years after termination.

Cure period:

Typical notice-to-cure window is 30 days for breaches.

Arbitration/claim window:

Contract may require claims be filed within specified months.

Common drafting and execution mistakes to avoid

  • Overbroad confidentiality definitions that sweep in public or independently developed information and risk unenforceability in court.
  • Failing to name affiliates or controlled entities, leaving loopholes for circumvention through related parties or shell entities.
  • Lack of clear remedies or liquidated damages, making it difficult to measure or obtain relief after a breach.
  • Using weak signer authentication for high-value deals, increasing the risk of repudiation or disputed signatures.

Consequences of an incorrect or breached NCND

Monetary damages: Compensatory or liquidated damages
Injunctive relief: Court orders to stop conduct
Attorney fees: Potential fee-shifting clauses
Lost commissions: Recovery claims for lost brokerage fees
Reputational harm: Damaged business relationships
Enforcement costs: Time and litigation expense

Practical tips for stronger NCNDs

Apply focused drafting and secure execution practices to maximize enforceability and reduce operational friction.

Use narrow definitions
Define Confidential Information and Protected Contacts precisely to avoid overbreadth that courts may invalidate; include examples and explicit exclusions.
Specify remedies
Include injunctive relief options and measurable damages or commission formulas so parties can calculate potential exposure and negotiate accordingly.
Choose governing law
Pick a familiar state's law for dispute resolution; ensure the clause matches where parties transact or hold assets to reduce forum disputes.
Secure signing
Match signer authentication strength to deal value and retain a tamper-evident audit trail with exported PDF/A copies for long-term storage.
