By executing this Notice, Notifying Party certifies that the representations made herein are true and correct to the best of Notifying Party's knowledge and that the condition(s) identified above have been fulfilled as stated. This Notice shall operate to acknowledge satisfaction of the identified condition(s) and to trigger any subsequent obligations under the Agreement, including, without limitation, the obligation to proceed to closing within the times prescribed by the Agreement.

If Receiving Party disputes the sufficiency of the fulfillment asserted in this Notice, Receiving Party must provide written objection specifying the grounds for dispute within the time period for objections specified in the Agreement. Absent timely and specific written objection, Receiving Party shall be deemed to have accepted this Notice and waived further objection to the satisfaction of the identified condition(s).

Remedies for breach or misrepresentation concerning this Notice shall be as provided in the Agreement. Notifying Party acknowledges that knowingly submitting a false certification of fulfillment may subject Notifying Party to contractual remedies and other legal relief, including damages and injunctive relief.

This Notice shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles.
