What the Real Estate Offer Instructions Are

The Real Estate Offer Instructions document guides parties through preparing and delivering a purchase offer for residential or commercial property. It organizes the offer package, lists mandatory disclosures, specifies deposit and contingency handling, clarifies delivery and acceptance methods, and records timelines for deposits, inspections, and closing. The instructions are used by buyers, listing agents, buyer brokers, and title companies to ensure the offer is complete, compliant with state rules, and ready for signature and delivery either in person or electronically under ESIGN and applicable state law.

Why Clear Offer Instructions Matter

Clear instructions reduce execution errors, speed negotiation, and preserve legal enforceability by capturing intent, deposit terms, and contingencies. Well-structured instructions also document delivery and acceptance methods, which supports enforceability under the ESIGN Act (15 U.S.C. ch. 96) or state UETA where applicable.

Why Clear Offer Instructions Matter

Who Typically Prepares and Uses These Instructions

Several parties interact with offer instructions; each has distinct responsibilities.

  • Listing agents and brokers responsible for receiving offers, confirming disclosures, and communicating deadlines to sellers.
  • Buyer agents who assemble the offer package, confirm buyer identity and funds, and track contingency deadlines.
  • Title companies and escrow officers who verify recorded instruments, manage deposits, and coordinate closing logistics.

Clear role delineation reduces missed deadlines and ensures each party can verify compliance and signature validity.

Step-by-Step: Complete and Send an Offer

Follow these sequential steps to prepare, validate, and deliver a legally coherent offer package.

  • 01
Prepare Package: Assemble signed offer, disclosures, HOA docs, and pre-approval or proof of funds.
  • 02
Verify Fields: Confirm names, dates, amount formats, and contingency deadlines match supporting documents.
  • 03
Attach Deposits: Include earnest money instructions or evidence of wire transfer per escrow requirements.
  • 04
Deliver to Recipient: Send via agreed method (email with eSign, courier, or listing broker portal) and record delivery time.

How Electronic Submission and Acceptance Typically Flow

Most transactions use a clear sequence for eSubmission and acknowledgement to preserve the record of offer, delivery, and acceptance.

  • Upload Offer: Sender uploads the completed offer and supporting documents to the chosen platform or email.
  • Place Fields: Add signature, initial, date, and optional conditional fields for contingencies.
  • Send to Signers: Dispatch via secure link, guest signer email, or broker portal with delivery confirmation.
  • Receive Audit Trail: System records timestamps, IPs, and actions to document intent and attribution.

Typical Digital Workflow Settings for Offer Delivery

Configure workflow settings so signatures, notifications, and authentication match party expectations and legal needs.

Field Configuration
Signing Order Specify sequential or parallel signer order
Authentication Email link, SMS code, or KBA where required
Notifications Auto-reminders at configurable intervals
Archive Store signed PDF with audit trail and certificate

Technical Requirements and Supported Formats

Ensure the chosen platform supports required formats, integrations, and authentication levels before sending offers.

  • File Formats: PDF, DOCX, and fillable forms supported
  • Integrations: Salesforce, Microsoft 365, Google Workspace compatibility
  • Authentication: Email, SMS, KBA, and advanced options

Confirm platform encryption, audit trails, and retention features align with your compliance obligations and recordkeeping policy.

Recording Errors: Title defects and lien exposure

Real-World Examples of Offer Execution

These brief case snapshots show how practitioners use clear instructions to accelerate offers and preserve compliance.

Martin Properties

A mid-sized broker used standardized instructions to move offers faster and reduce missing items during review.

  • Result: fewer resubmissions and clear deposit handling.
  • "I can process and execute all of these documents online with 100% compliance and built-in security. Whether on mobile or working offline, I can get forms back to their necessary parties efficiently."

Optica Ventures

A small investor group centralized offer templates for remote transactions.

  • Result: consistent paperwork across deals and clear audit records.
  • "The interface is simple and easy-to-use for our team; more importantly, it is just as easy for our customers."

Common Deadlines to Track in an Offer Package

Track all deadlines explicitly to avoid forfeiture of contingencies or deposit disputes.

Offer Expiration:

Specify date and time when offer lapses

Earnest Money Due:

State the deposit due date and method

Inspection Deadline:

MM/DD/YYYY for inspection contingency expiration

Financing Contingency:

Date by which loan approval must be obtained

Closing Date:

Target recording and possession date

Practical Tips to Complete Offer Instructions Accurately

Adopt these practices to reduce rework and strengthen enforceability.

Use Consistent Names
Match names to ID and lender paperwork; inconsistent names can delay title clearance and closing by days or weeks.
Lock Dates and Amounts
Avoid ambiguous phrasing; locked terms prevent later misunderstandings and protect deposit handling for escrow agents.
Document Delivery
Record how and when the offer was delivered; a secure audit trail is primary evidence of acceptance under ESIGN standards.
Confirm Deposits
Obtain and attach proof of earnest money transfer to prevent short-pay disputes during escrow processing.

Primary Signer and Approver Roles

Buyer Agent

The buyer agent prepares the offer, ensures all fields and attachments are complete, coordinates proof of funds, and often initiates electronic signature requests on the buyer’s behalf.

Title / Escrow Officer

The title or escrow officer receives the executed offer, holds earnest money per instructions, verifies recording requirements, and coordinates closing documentation with parties.

Common Preparation Pitfalls to Avoid

  • Using informal or abbreviated party names that do not match IDs or lender records, causing title or underwriting delays.
  • Failing to attach required disclosures or HOA documents, which can nullify acceptance or delay closing timelines.
  • Not specifying time zones or exact times for deadline expirations, creating ambiguity about timely performance.
  • Relying on informal email confirmations without an auditable signature record and timestamp for acceptance.
