What the Real Estate Offer with Addendum Is

A Real Estate Offer with Addendum is a written purchase proposal for real property that includes one or more attached addenda modifying or supplementing the base offer. Addenda document contingencies, disclosures, inspection or financing terms, title or survey requirements, and closing timelines. When signed by the parties it becomes part of the contract subject to acceptance, counteroffer, or rejection. In the United States the form may be executed electronically if it meets ESIGN Act and applicable state UETA or ESRA requirements.

Why a Clear Offer and Addendum Matter

Using an offer with a well-drafted addendum clarifies obligations, reduces ambiguity, preserves contingency rights, and documents deadlines. A complete document helps avoid disputes and supports enforceability when signed and retained according to ESIGN and state law.

Why a Clear Offer and Addendum Matter

Who Typically Prepares and Signs This Document

Brokers, listing agents, buyers, sellers, and attorneys commonly prepare or review offers and addenda before submission.

  • Real estate agents: Draft offers, attach standard addenda, and coordinate delivery to the listing side.
  • Buyers and buyer agents: Specify financing, inspection, and appraisal contingencies and earnest money instructions.
  • Sellers and seller agents: Review terms, countersign or counteroffer, and confirm closing or possession conditions.

Parties should confirm signatory authority, dates, and that any electronic signing complies with ESIGN/UETA requirements before final delivery.

Step-by-step: Prepare and Submit a Complete Offer with Addendum

Follow sequential steps to assemble, review, sign, and deliver the offer and addendum to reduce errors and ensure legal effectiveness.

  • 01
    1. Gather documents: Title report, disclosures, financing preapproval
  • 02
    2. Draft offer: Include price, contingencies, timelines
  • 03
    3. Attach addenda: Inspection, financing, or special-condition addenda
  • 04
    4. Sign and deliver: Obtain signatures and transmit to listing agent

Primary elements every Professional Offer with Addendum should include

A professional offer with addendum groups key deal terms, conditional language, and execution details clearly so all parties and their agents can review and accept or counter effectively.

Parties

Identify buyer(s) and seller(s) using full legal names and, for entities, the business type and state of formation to establish signing authority and liability.

Property Description

Provide street address, unit, parcel or legal description and any included or excluded fixtures to prevent later disputes about what is conveyed.

Price and Payment Terms

Detail purchase price, earnest money amount and timing, financing terms, seller credits, and how funds are to be delivered at closing.

Contingencies

List inspection, financing, appraisal and title contingencies with explicit deadlines, cure periods, and procedures for mutual release or waiver.

Addendum Items

Attach and label each addendum (e.g., HOA, lead paint, repair addendum) and state whether they modify or supplement the base offer language.

Signatures, Dates, Notices

Include signature blocks with dates, notice addresses for each party, and any witness or notary blocks required by state law or lender instructions.

Common preparation mistakes to avoid

  • Vague contingency language that fails to specify inspection scope, cure periods, or acceptable financing conditions.
  • Incorrect or abbreviated legal names for parties that hinder title search or closing documents.
  • Improper signing process—unsigned addenda, initials instead of signatures, or electronic consent not properly recorded.

Consequences of errors or incomplete execution

Invalid Signature: Document unenforceable
Missed Deadline: Contingency deemed waived
Incorrect Payee: Escrow disputes
Undefined Terms: Contract subject to litigation
Failed Authentication: Signature challenged
Improper Notice: Breach of notice provisions
